Morumbi Oil & Gas Inc. (TSX VENTURE:MOC) ("Morumbi" or the "Company") announces that Isina Mining & Development Ltd., ("IMD") a wholly owned subsidiary of Morumbi, has executed a letter of intent ("LOI") to become the Development Partner of choice for Isina Resource Holdings Limited ("Isina Holdings") on the mineral rich island of Bougainville, Papua New Guinea. Isina Holdings is a landowner company representing 15 villages over traditional lands (the "Isina Lands").
It is the first time in the history of Bougainville that an area, until recently aggressively opposed to mineral exploration, has formed its own development company and invited a foreign partner to jointly explore for and develop mineral resources located on their traditional lands. The Company's Chairman Stephen Shefsky and Chief Executive Officer Mark Brennan participated in the signing ceremony which took place at Tunania village on the Isina Lands on the east coast of Central Bougainville.
The current LOI covers approximately 5,000 hectares that extends from the East coast up over and beyond the Crown Prince Range. Bougainville, although long regarded as having great gold and copper potential based on early work done by German explorers, has a unique history with respect to Mining in that no exploration has been carried out since the 1960's.
Satellite imagery, together with the results of a German Government sponsored Aeromag and geochemical survey over Bougainville carried out by the Federal Institute of Geoscience and Natural Science Hannover and published in 1990, together with the 2007 discovery of extensive alluvial fields in the creeks and rivers of Isina that are now being worked by villagers, single out this area for high-priority exploration programs for gold/copper epithermal and porphyry deposits.
Under the terms of the LOI, IMD paid Kina $10,000 (approximately CDN$ 4,000) on execution and has agreed to pay a further Kina $3,000 (approximately CDN $1,200) per month to Isina Holdings to help it fund certain programs.
Bougainville Geological Setting
Bougainville is situated along an emerging gold-copper Neogene magmatic belt from Lihir to the Solomon Islands on the south west Pacific Rim of Fire. A number of economic gold and gold-copper deposits have been discovered on this belt including Lihir, Panguna, Simberi and Gold Ridge.
On Bougainville there has been no exploration activity since the 1960's on the island which is approximately 250 km long and an average 40 km wide with a North/South spine of ranges made up of nine volcanoes of which two (Mt. Balbi & Mt. Bagara) remain active. The island is one of the world's best endowed gold and copper districts; hosting the world class Panguna Mine with in excess of 40Moz gold equivalent metal surrounded by what is generally accepted as the world's most under explored prospective district for the discovery of additional large gold-copper deposits.
The Isina Lands lie twelve kilometers along the Crown Prince Range to the South of Panguna. Panguna was the world's first large scale gold-copper porphyry mine, which at its opening in 1974 treated a then unheard of 135,000 tons of ore daily. In 1978, one of the peak production years, Panguna produced 403 million lbs. of copper, 751,000 oz. of gold and 1.7 million oz. of silver which at today's prices would aggregate to total sales of $2.8 billion for the year.
At the time the Panguna mine was shut down by civil unrest in 1989 it was still producing in excess of 400,000 oz of gold per annum.
The Isina Lands, by virtue of the historical information on the area and their geological setting in proximity to Panguna, offer unique opportunities for the discovery of world-class high grade epithermal gold and porphyry gold-copper deposits.
Rockwell
The current LOI flows from the program that Morumbi acquired through the purchase of Rockwell Exploration S.A. Rockwell has had well established and ongoing relationships for over six years on Bougainville at the village and Governmental level. The current LOI over Isina Lands is a product of these strong relationships and is expected to be followed by other such arrangements on the Island.
Morumbi also announced that on May 30, 2011, in accordance with its stock option plan, the board of directors of Morumbi approved the grant of an aggregate of 2,100,000 incentive stock options to certain directors, officers and consultants of the Company. Of these options, 425,000 are exercisable on or before May 30, 2013 with the remainder being exercisable on or before May 30, 2016 each at an exercise price of $0.33 per share.

Hauptversammlung könnte Vorstand kippen

jur Frankfurt - Die seit mehreren Jahren schwelenden Streitigkeiten zwischen der Führungsriege des börsennotierten Finanzdienstleisters PEH Wertpapier AG mit Sitz in Oberursel bei Frankfurt und einigen Aktionären spitzen sich zu. So wird auf der anstehenden ordentlichen Hauptversammlung am 24. Juni unter anderem darüber abgestimmt werden, ob der seit 2000 amtierende PEH-Vorstandsvorsitzende Martin Stürner, der zugleich Großaktionär der Gesellschaft ist, im Amt bleiben darf oder nicht.
Mit Verweis auf den Schutz ihrer Beteiligungsinteressen hat eine Gruppe von Aktionären um die ARBB Gruppe aus dem Schweizer Zug, die nach eigenen Angaben rund 3 % an der PEH hält, vor wenigen Tagen die Ergänzung der Tagesordnung der ordentlichen Hauptversammlung verlangt und auch durchgesetzt. Nun stimmen die Aktionäre - 30 % der Gesellschaft befinden sich in der Hand von Vorstand und Aufsichtsrat - unter anderem über die Bestellung eines Sonderprüfers und auch die sofortige Abberufung dreier Aufsichtsratsmitglieder ab. Zur Wahl in den Aufsichtsrat schlägt sich unter anderem der CEO der ARBB, Swen Lorenz, gleicht selbst vor. Lorenz hält nach BaFin-Angaben 9 % an der PEH.
"Das alles ist aus meiner Sicht unnötig und unschön", sagt der Vorstandsvorsitzende Stürner im Gespräch mit der Börsen-Zeitung. Er wirbt bei den verbleibenden Aktionären für seine Sicht der Dinge. "Trotz der sich ständig wiederholenden Kritik einiger weniger Aktionäre am Management sowie am Aufsichtsrat ist die PEH auf einem sehr guten Weg", so Stürner. Im ersten Quartal 2011 hätten die Erträge in allen Sparten deutlich gesteigert werden können. Das Ergebnis vor Zinsen, Steuern und Abschreibungen (EBITDA) legte um 61,1 % auf 1,34 Mill. Euro zu, das verwaltete Vermögen kletterte auf 5,2 Mrd. Euro.
Wie viele Anteile hinter dem Antrag auf seine Absetzung stehen, vermag Stürner nicht genau zu sagen. "Wir gehen aber davon aus, dass der Großteil unserer Aktionäre uns weiterhin wohlgesonnen ist." Er verweist dabei auch auf die positive Entwicklung der im Freiverkehr in Frankfurt und Berlin gehandelten PEH-Aktie. Seit Jahresbeginn legten die Titel um mehr als 20 % zu. Leider würden die Aktivitäten der Aktionärsgruppe um die ARBB jedoch die Reputation der PEH gefährden, was sich bereits bei Einstellungsgesprächen bemerkbar mache.

Weißt du, dieses Forum hier ist kein Selbstbedienungsladen, bei dem man sich vorne an der Kasse beschwert, weil Gesprächsteilnehmer vermeintlich auch mal das Schwatzen anfangen. Vielmehr lebt das Forum davon, dass jeder das postet, was er für relevant hält. Und jedes gepuzzelte Bild besteht nun mal auch aus Teilen, die für manch einen zunächst vermeintlich unbedeutend erscheinen.
Wer hätte beispielsweise noch vor 10 Jahren gedacht, dass die Mekamui-Buben im Jahre 2011 derart viel Macht haben, sodass sie den gesamten Minen-Wiedereröffnungsprozess um viele Jahre ausbremsen können? Wer hätte gedacht, dass das Inselvolk dadurch bedingt offensichtlich gar nicht eine einzige Autonomie haben will, sondern eben zwei parallele und teilweise konkurrierende Autonomiestrukturen anstrebt? Wer wird sich durchsetzen? Momis oder die Mekamui? Nicht weniger als diese Frage ist vom Inselvolk in den nächsten Jahren zu klären. Vor 10 Jahren war jede Diskussion darüber unbedeutendes Geschwafel, weil unvorstellbar.
Natürlich weißt du das alles schon. Aber du verhältst dich halt nicht danach.
010611South B’ville factions put up road block

Former combatants in the Konnou constituency of South Bougainville who gave up their guns in exchange for peace after the Bougainville crisis have taken up arms again, this time, against a notorious criminal, Damien Koike and his men.
Koike is reported to have been responsible for over 55 deaths of men, women and children since 2006 in the Konnou area, including the recent shooting and wounding of innocent civilians last Wednesday at Siniminoi and on Monday at Mongai village.
In revenge of having their women and children constantly living in fear of the gun wielding criminal, leaders of factional groups in the Konnou area agreed on May 27 to put a stop to the killings in the area.
Leaders of Mongai homeguards, Buin Freedom Fighters, Peace Struggling Force (PSF) and Wissai Liberation Movement (WILMO) under the banner of Konnou factional group, resolved counter attack the crime activities.
Konnou Faction commander Philip Pusua said yesterday that the first action they have taken is to set up a road block at Mongai junction to stop traffic moving between Buin and Buka.
He said the aim of the road block is to minimize the flow of information.
Mr Pusua added that the Konnou factional leaders had also agreed to not allow any peace team or organization to approach Damien Koike and his band of criminals until the government takes an immediate action to stop the continuous killings in the Konnou area.

Panguna landowners in Bougainville yesterday warned the Me’ekamui tribal government to stop misleading the world with media statements that ‘it will not open the mine’ as reported on New Dawn’s website on Monday (May 30).
Panguna Landowners Association (PLOA) Interim Executive Secretary Lawrence Daveona in response to the Me’ekamui press statement urged that the Me’ekamui seek PLOA’s advice before issuing such statements.
The Me’ekamui had on Monday claimed that the tribal government controlled the assets at Panguna and all natural resources within its borders.
They also disapproved Bougainville president John Momis’ authority to enter into any understandings or agreements with Me’ekamui owned land.
Me’ekamui president Philip Miriori had also in the same statement invited state ministers, ABG leaders and BCL company representatives to a meeting set for June 14 – 17 at Hilton Hotel, Cairns, Australia to discuss Panguna mine issues.
In an email to New Dawn FM, Daveona expressed that it is a pity that Me’ekamui government had embarked on trying to dismantle tremendous efforts ABG had put in place since the signing of Bougainville Peace Agreement in 2001.
He said false assertions made by the Me’ekamui tribal government included;
• Claims the Me’ekamui government has over the assets of Panguna mine.
• Claims that Me’ekamui tribal government are the legal authority in Bougainville and
• Claims that BCL had no rights to Panguna.
Responding to each of these claims, Daveona said the legitimate authority under which any negotiations with respect to the re-opening of Panguna mine is Panguna Landowners Association (PLOA).
He added that the ABG and its president John Momis is the ‘only’ authority that is recognized world-wide and until such time as provided for under the Bougainville Peace Agreement, ABG operates under an autonomous arrangement with PNG.
He also responded that whoever was advising Me’ekamui government on the licensing issues of the leases is using the Bougainville people's ignorance on the present status of the Panguna BCL mine leases.
Daveona warned that PLOA is very much aware of foreigners who are at the center of spreading this misinformation and advised the Me’ekamui government hierarchy to consult directly with the legal authority on the ground.

NEWLY--ELECTED North Bougainville MP, Lauta Atoi, is a very determined man when it comes to helping develop Bougainville, especially his northern electorate, if finance and resources permit.
Yesterday, before the declaration, the Post-Courier interviewed him in his home, surrounded by thousands of his supporters, Atoi, a former Kumul icon, detailed his priorities for the next six months.
“I have a heart for my people of the Atolls and low-lying islands and especially those of Teua/Kunua who have been neglected for many years,” Mr Atoi said. “I have plans for all the electorates of north Bougainville before looking at the bigger picture.
“There are places that are less developed and there are those that really need help – it’s about service delivery but my approach will be all about income generating activities.
“I have the water project and I want to spend K5 million on water tanks for all north Bougainvilleans, which is the main need for the people in the north.
“I want to work together with the ABG to revive all feeder ports in the region and help save plantations that will help generate our income so that we become financially self-reliant instead of asking and begging and receiving all the time. Also I want to help get back the eight plantations that have been sold to foreigners.
“But most of all, get a landing craft and a proper service boat for the people of the Atolls and the low-lying islanders and a fish market to help the islanders market their fresh fish for a living.
“I want to help the government of the day change their mindset.

THE people of North Bougainville have elected their new national member of parliament. He is Lauta Atoi, a businessman of mixed Mortlock and Tasman parentage.
Atoi, with 10,463 votes, won by 5,301 beating only female candidate Rachael Opeti Konaka, who completed the contest on 5,162 votes.
He now occupies the North Bougainville open seat left vacant by former member and Governor-General Sir Michael Ogio.
Bougainville Electoral Commissioner and North Bougainville by-election returning officer Reitama Taravaru, in thanking the Papua New Guinea and Bougainville electoral commission officers, police and the candidates and their supporters, said, generally, the election was peaceful and carried out with respect.
“Having being satisfied with the process on our part, that the by-election was fair and transparent, I have taken into account all the votes cast and I declare our new member-elect Lauta Atoi,” Taravaru officially declared in Buka yesterday.
Atoi, in accepting his new role, thanked everyone for their support and acknowledged members of the New Bougainville Party and churches in Buka for their prayers and assistance.
To all his voters and campaign team, he urged they stay focused on their primary reason for contesting the by-election.
“This win is just the beginning of our journey. Let us stay focused on the immediate needs of our people,” he said.
“We need to complete all incomplete projects of our former member like delivery of water tanks and assisting our people in the West Coast atolls.
“Let us concentrate on putting all monies into these immediate projects; 2012 can take care of itself.
“Our medium- and long-term plan is to boost economic growth in our region,” he said.
“There is no time to celebrate, we have six months to take care of our people. I stand with confidence, yes, I can lead, it is time for a change.”
He invited the candidates who lost and their supporters to work closely with him.
“I have seen your platforms during the campaign period.
“You have very good ideas which we can together work on and move Bougainville forward,” Atoi said

PAGUNA mine is now one of the most critical agendas for Papua New Guinea and the Autonomous Bougainville Government as singled out by the leaders of these governments.
Acting Prime Minister Sam Abal, Bougainville Affairs Minister Fidelis Semoso and ABG President John Momis have reiterated the same message to the people of Bougainville – the importance of re-opening the Panguna Mine, which is now imminent to address for a better economy of the region.
ABG President Momis, under his invitation, brought with him tycoons from Australia and BCL’s top boss Peter Taylor and Paul Coleman to Buka for several meetings specifically on mining, tourism, hospitality and many more.
Semoso who sings every time he makes a speech, about the importance of re-opening the Panguna Mine – with a simple message – the mine alone will help power the economy of Bougainville, help give to the economy of PNG and abroad if re-opened very soon.
Abal also singled out the approach the National Government is taking and how the Panguna issue is imperative and a priority agenda for the Government.
When speaking in Arawa on Sunday, Abal spoke and appealed to the people of Bougainville to lay down their arms and move on.
“Lay down your arms, they are destructive tools and pick up the shovel, your productive tools,” Mr Abal stressed.
Minister Semoso “sang” to the public “our good people of Kieta, our mothers, we can have all the businesses moving forward, you can have foreign investment coming to your doorstep but if the law and order is not in order you cannot have the economy of Bougainville gow.
“Please, mi askim yupla ol mama, yupla ol man blong Kieta rausim gun na yumi movim Bougainville forward,” Minister Semoso said.
But Abal believes that Bougainville has a bright future and the National Government has every responsibility to see that Bougainville gets back to its normalcy but on a better position.
As a part of the acquisition, Morumbi has also entered into a consulting
agreement with Mr. Lindsay Semple providing for Mr. Semple's services on
an exclusive basis to build an exploration platform for Morumbi in PNG in
order to take advantage of the opportunities management believes to be
present there. Morumbi has also entered into a consulting agreement with
Mr. Philip Rali a PNG national and an expert in Melanesian customs, who
has worked as a team with Mr. Semple for the past 13 years focusing on
the acquisition and development of oil and gas properties. Of the
4,000,000 Morumbi common shares issued in connection with the
acquisition, 1,800,000 are being held in escrow and will be released in
three equal tranches over a period of 18 months.

THE Panguna mine is for all Bougainvilleans and not only for Panguna landowners. Before it opens, wider consultations must be done on to seek public views or opinions. This is to avoid self-centered ideas from a few people only.
Secondly, the mining power must be in the hands of ABG before the reopening. We fought for land rights and finally for Independence. Any reason for opening of the mine must comply with the Bougainvilleans demand.
Mr President and Mr Bougainville Affairs Minister, when you talk about reopening the mine, we also want you to talk about referendum and Independence as well. Make sure you fully implement the Bougainville Peace Agreement on weapons disposal plan, autonomy and referendum.
As for referendum, like former President James Tanis, carry out review in preparation for referendum. We want to see effective progress on the referendum issue starting this year 2011.

ABG President, Chief JOHN MOMIS today urged all four Bougainville National MPs in the National Parliament to work more closely with him and his administration.
He said this will help to better coordinate and provide funds for community based projects through the implementation of the government’s District Support Improvement Programs.
He added this is to achieve maximum output in all the Council of Elders areas in Bougainville.
President MOMIS said this when congratulating Member Elect for North Bougainville, LAUTA ATOI this week.
Chief MOMIS said although MR ATOI’S term in Parliament is short, he believed that with his business background and experience, the people of North Bougainville would see some real change in their electorate.
MR MOMIS said out of the many good leaders who stood for the by-election, the people overwhelmingly chose LAUTA ATOI to be their leader until the next general election in 2012.
And he hoped that in his short term as the North Bougainville’s representative in the National Parliament, he will work more closely with the ABG to bring services closer to the people at COE areas
