PROPOSAL NUMBER 2
APPROVAL OF AMENDMENT TO THE CERTIFICATE OF INCORPORATION TO INCREASE THE AUTHORIZED SHARES OF COMMON STOCK The Board has determined that it is in the best interests of the Company and its shareholders to diversify our business and to develop new existing and potential sources of revenue. The Board believes that the achievement of this goal will be furthered by acquisitions of technologies and technology based companies and that such acquisitions may involve the issuance of our common stock. Accordingly, the Board has approved and recommends that the shareholders approve an amendment to our Certificate of Incorporation to increase the number of authorized shares of Common Stock from 500,000,000 to 600,000,000. The Board recommends the increase in the number of authorized shares to allow us to pursue growth through financings, strategic business relationships and acquisitions. As of the record date, the majority of our shares have been issued. We expect that we will need flexibility to issue and sell more Common Stock for equity based financings, and to respond to potential business opportunities in order to accomplish our business objectives. The Board also advises shareholders that failure to approve the amendment could limit our access to equity capital and impair our current acquisition program. The increase in the number of shares, if approved, would be effective after shareholder approval and upon the filing of an amendment to our Articles of Incorporation with the office of the Secretary of State of the State of Delaware.

Remote Radio Head Manufacturer Axis Network Technology Establishes US Presence for Sales, Design and Technical Support
Resources established in San Diego and Baltimore to support WiMAX OEMs in the US basestation market
WiMAX World 2008
CHICAGO, & AYLESBURY, England--(BUSINESS WIRE)--Axis Network Technology (AxisNT), a manufacturer of Remote Radio Heads and subsystems for WiMAX, has announced the establishment of two new points of presence in the USA – in San Diego and Baltimore – to support its growing customer base for Remote Radio Heads.
The AxisNT sales office in San Diego is headed by Rich Corrigan, an industry professional with wide-ranging experience in both telecommunications and data communications. Since 1999 Rich has held executive and management level sales and marketing positions with semiconductor companies Forza Silicon and Patriot Scientific, wireless companies REMEC and Ensemble Communications, and networking companies Copper Mountain Networks and IP Unity. Rich began his career in engineering, working for several years in system architectures and emerging technologies for Motorola and briefly at Rockwell International. He holds Bachelor degrees in both Marketing and Computer Science from Northern Illinois University, and a Masters degree in Computer Science from De Paul University.
“Rich has the ideal background to help us to develop and support the US market,” said Michel Vieuxmaire, Global Sales Director for AxisNT. “His experience and judgement are already making a major contribution to our growing success with the Remote Radio Head and digital radio subsystems products.”
The design team in Baltimore is headed by Chief Systems Engineer Frank Friedman. Frank is involved both in the design of the DSP architecture for the WiMAX Remote Radio Heads and for algorithms used in the product’s management system. Prior to joining AxisNT, Frank worked as a Senior Engineer at Filtronic, where he pioneered early WiMAX radio head development. He has served on the international OBSAI RP3 specification committee for the past four years, and was a leader in designing WiMAX support into the protocol. He holds a Bachelor degree in Electrical Engineering from Lehigh University and a Master’s degree in Electrical Engineering with full honors from Johns Hopkins University.
“Right from the start it has been Axis’ strategy to recruit the best engineers for our design team, wherever in the world they may be located,” commented Steve Cooper, CTO of AxisNT. “We’ve been very fortunate to find Frank, whose background in both remote radio heads and with WiMAX and OBSAI standards is a perfect fit for us, and he and his group in Baltimore are now working as an integral part of the Axis design and development operation.”

Avot Media’s tipMotion Platform Powers chumby Music Video Widget
SUNNYVALE, Calif.--(BUSINESS WIRE)--Avot Media (www.avotmedia.com), an innovator in real-time video streaming to mobile devices, is now providing video formatting and streaming solutions for chumby’s popular music video widget. Chumby users can now browse and view music videos without having to struggle with video quality issues like stuttering, buffering, or image breakup typical with most video solutions.
“Avot Media is an outstanding video formatting and streaming solution that accommodates the chumby Flash Lite environment extremely well,” said Rick Maiero, Vice President of Product Management at chumby. “With Avot Media’s tipMotion solution in place, we are now able to offer the chumby community a compelling music video viewing experience.”
Using tipMotion, the chumby music video widget crawls public Internet music video sources, transcodes the source video file on-the-fly, and streams the video to chumby, without the need for costly and time-consuming content ingestion or replication. Chumby optimally supports 12 frames/second and data streams up to 220 kbps. Desktop video, on the other hand, typically streams at 25-30 frames/second with a data stream of 384 kbps. The tipMotion appliance transcodes the web video and delivers it in the appropriate format, frame rate, and bit-rate for the chumby environment, without the burdens typically associated with video transcoding. Additionally, tipMotion detects the network variances and dynamically adjusts the bit-rate via adaptive network feedback, ensuring a smooth video playback.
“Standard transcoders are focused on more standard mobile formats, while tipMotion specifically adapts the video format to a wide range of formats, including the Flash Lite environment,” said Brian Sathianathan, founder and president of Avot Media. “As a result, we are able to deliver music videos to chumby without stuttering or buffering.”
