Regulation FD Disclosure, Financial Statements and Exhibits
Item 7.01 Regulation FD Disclosure.
On October 3, 2011, Local.com Corporation (the "Registrant") announced that it would modify the manner in which it reports revenue from its Spreebird daily deals business to record such revenue net of the merchant revenue share. The Registrant noted that such modification had not been made at the time of the Registrant's previously issued financial guidance for the third and fourth quarter of 2011, but would be reflected in the reporting of revenue going forward, including the third and fourth quarter of 2011.
A copy of the press release is furnished as Exhibit 99.1 to this Current Report.
Item 9.01 Financial Statements and Exhibits.
Exhibit 99.1 Press release of Registrant dated October 3, 2011.

Net vs. Gross Revenue 3-Oct-11 06:53 pm I see a number of postings here this afternoon that are trying to mislead investors into thinking there is something negative about the change in the way the deals revenue is going to be reported. The bottom line will not change at all, its totally semantics. Now instead of reporting revenue of $25 when they sell a daily deal at $25, they will only report the portion that they get to keep as revenue (usually $10 - $12.50 on a $25 sale) and they will not include the amount paid to the merchant who provided the product or service. The new approach is a very conservative approach and its a good sign for investors that LOCM has chosen the more conservative route.
The stock could trade down tomorrow - who knows where it will trade over the short term. If we get another big down day in the market, I would expect LOCM to sell off like everything else. If this happens, it will be a heck of a buying opportunity, as the short sellers have done a number on this one and the garbage being posted regularly to this message board is indicative of very active short sellers.
LOCM is a great buy at today's prices and any shares you can get below $2.50 should allow you to make strong double digit gains in 2012.
The company will provide financial results for the third quarter both net of merchant revenue share and inclusive of merchant revenue share in order to provide a basis for comparison against guidance. Results and guidance for all future periods, including third quarter 2011, will be reported consistent with the new revenue recognition practices on a net of merchant revenue share basis.

An excellent answer of letitgrowbl.... 8-Oct-11 04:09 am Re: In Summary.. 7-Oct-11 07:11 pm You are full of anger and discontent, and that is a sign of a disgruntled shortseller with an agenda- wtf are you even doing here?? I think the answer to that is obvious, and it is not in the interest of the good folks here on this board. Like the foul wind coming from your piehole, you'll be gone as quick as you came. You only come around when there is a short agenda, so who are you fooling? I am a long shareholder- it is that simple. I believe in this company, and I am buying stocks on the cheap. The more I buy, the less you can have! That's the best part, aside from the serious money that will be made one day. Consequently, anyone who believes what YOU have to say are seriously deceived! Your advice is to sell, sell, sell... that's supposed to be good advice?? you are a donkey. The shorts are drying up and have been covering for some time, in preparation for an eventual price explosion. Adding to my position on the cheap, thanks!
The Market-Cap of Local.com is only 91% of the Book-Value the lowest percentage of all competitors.
The Market-Cap of Open Table is 881% of the Book-Value. This is the 9.7-fold of the number of Local.com.
The Market-Cap of Travelzoo is 1148% of the Book-Value. This is the 12.6-fold of the number Local.com.
