Information for holders of depositary receipts issued for Shares of Gazprom PJSC (DR)
Dear DR holder,

On April 16, 2022, Federal Law of the Russian Federation No. 114-FZ was adopted, which establishes that from April 27, 2022:

1) the circulation outside the Russian Federation of depositary receipts for gazprom's shares (hereinafter referred to as DR, Shares, respectively) shall be terminated;

2) PD holders are not granted the right to vote, dividends are not paid on PD;

3) the right to receive Shares as a result of the conversion of the PD will be available only to persons who are holders of the DR as of 27.04.2022.

On April 29, 2022, Gazprom PJSC sent an instruction to The Bank of New York Mellon to terminate the Deposit Agreement and close the DR Programs.

In this regard, we notify you of the procedure for converting THE DR and providing Shares to persons who are holders of the DR as of 27.04.2022.

In order to convert PD into Promotions, we suggest that you decide on further actions taking into account the following possibilities.

Upon presentation of the PD for conversion, the Shares may be credited to your account (hereinafter referred to as the Account [1])

1) in a foreign depository that has an account of the depot of a foreign nominee holder in the Russian depository

or

2) in the Russian depository

We draw your attention to the fact that in case of servicing your depot account in a foreign depository that has a depot account of a foreign nominee holder in a Russian depository, the personal presence of you or your representative under a power of attorney in the territory of the Russian Federation, including for the purpose of your identification in order to comply with the Federal Law of the Russian Federation dated 07.08.2001 No. 115-FZ "On Counteracting the Legalization (Laundering) of Income, obtained by criminal means, and the financing of terrorism" (hereinafter - the Legislation of the Russian Federation on AML / CFT), the conclusion of a contract or the commission of operations on the depot account is NOT REQUIRED.

To perform an operation to convert PD into Shares, you need to perform the following actions:

Step 1. Contact your broker or depository that records your PD and initiate an instruction to deregister the ADR with the subsequent transfer to Depository Trust Company (DTC) to the following account:

Step 2. Send to BNY Mellon the Application for Conversion (hereinafter referred to as TRANSMITTAL LETTER) in PDF format (see Appendix 1), as well as the completed electronic certification form (see Appendix 2), to the e-mail address of the DRsettlements@bnymellon.com.

Settlement option 1: in order to receive Shares to a depot account opened in a Russian depository or a foreign depository that has a depot account of a foreign nominee holder in a Russian depository, it is necessary to fill out a TRANSMITTAL LETTER

Settlement option 2: receipt of Shares to the owner's depot account in the depository of Gazprombank

Gazprombank is a Custodian under the Agreement with BNY Mellon on the custody of Shares under gazprom's DR program. To receive shares on the account of the owner's depot opened in the depository of Gazprombank, it is necessary to fill in the TRANSMITTAL LETTER.

Step 3. submit to the Russian or foreign depository where your Account for accounting of Shares is opened, an order to accept Shares.

In case of submitting an order to register Shares under Settlement Option 1, it is necessary to indicate the identification number specified in the details of the calculations (your depository must provide it to you).

If you do not have an Account for crediting Shares, Gazprombank (www.gazprombank.ru), which is a Custodian under the Agreement with BNY Mellon on the custody of Shares under the DR program, in accordance with the decision of the Board of Directors of the Bank of Russia dated 29.04.2022, is ready to offer the owners of the DR - persons who are not residents of the Russian Federation, to open an account of the depot of the owner of type "C" for crediting the Shares in a simplified manner.

To open a depot account, the owner of a DR-non-resident of the Russian Federation must fill out a client questionnaire in English (hereinafter referred to as the Client Questionnaire) (the form of the Questionnaire of the client - an individual - a citizen of a foreign state or a stateless person and the form of the Questionnaire of the client - a legal entity, a foreign structure without the formation of a legal entity are attached).

After completing the Customer Questionnaire, you need to sign it with a ballpoint pen, scan or photograph it and send a scanned copy or photo of the completed and signed Client Questionnaire to the e-mail address: depo@gazprombank.ru.

After the acceptance of the Client Questionnaire, you will be opened an account of the depot of the owner of type "C" for accounting of Shares. The details of the account of the depot of type "C" opened in Gazprombank will be sent to the e-mail address specified by you in the Client Questionnaire within 3 working days from the date of opening.

You need to enter the details sent to you for crediting the Shares to TRANSMITTAL LETTER and initiate the conversion of the PD into Shares under Settlement Option 2.

The regime of the depot account opened for you is established by the decision of the Board of Directors of the Bank of Russia dated 29.04.2022 and provides for a limited list of crediting/debiting operations.

We draw your attention to the fact that until your identification is carried out in accordance with the requirements of the Legislation of the Russian Federation on AML/CFT, the implementation of a number of operations on such accounts will be limited, including limited write-off and crediting operations. Other securities can be credited to the depot of the owner of type "C" opened for you only after identification.

In order to provide documents for identification in accordance with the requirements of the Legislation of the Russian Federation on AML/CFT and to conclude the necessary contracts, you or your representative acting under a power of attorney will need to appear at the office of Gazprombank.

ich werde das wohl über Zypern machen ,geht einfacher und schneller ohne Anwalt

die Frage ist ,was ist wie sieht der Antrag aus ,formlos ?und was ist konkret mit dem Datum 20.09.verbunden;Depot Übertrag ??     z.B. ,müssen wir noch  abfragen.  

 

Anwälte oder Broker wie mind-money könne da auch nichts mehr machen

 

Weisungen funktionieren nicht, da Clearstream blockiert.
Ein Verkauf von ADR ist unmöglich und steht unter Sanktionierung da er mit einem Eigentumswechsel verbunden ist.
Einen Umtausch gibt's nicht, weil die Bücher sämtlicher ADR Emittenten dicht sind!
Ein Verkauf der lokalen Aktien ist unmöglich, da wesrliche juristische und private Personen ein Handelsverbot von russischer Seite haben.

Diese Spinner hängen schon am ersten Schritt fest. Da gibt's gleich mehrere Sackgassen!

Völlig unseriös und dann auch noch gelogen.  

du hast das nicht verstanden ,die wandeln NICHT um ,sobnder kaufen dir die ADR ab  für dem Tagespreis an de MOEX  minus  20 %. An den Fiskus musst du ja auch 25 % abführen ,das ist besser als  für Lau von Melonen Bank  und Kohle auch sofort wieder  greifbar

außer Spesen nichts gewesen. Die wollen nur, das Du ein Konto eröffnest. Je mehr Konten je besser für das Rating der Bank.  

was muss / kann man tun, sind die ADR noch irgendwie rettbar oder muss ich die Enteignung hinnehmen, habe mein Depot bei Consors.

aktuell kannst du eigentlich gar nichts machen. Ich würde das Ganze als open end bezeichnen. Es ist wirklich jedes Szenario möglich.  

im Oktober €250K Dividende von Gazprom

allerdings bekomme ich nichts da ADR nichts bekommen
Zwnagsumtausch wird sicherlich auch nicht mehr klappen bzw wurde von Gazprom komplett in die Tonne geworfen

habe auch keinen Anwalt oder ähbliches beaufragt
Werde nur selber nach Moskau oder Königsberg fliegen/fahren wenn ich damit 100% sicherstellen kann die Dividende zu bekommen

Sebst wenn ich ich die Dividdende auf das Typ-C Konto bekommen würde wäre Sie wohl gesperrt bzw beschlagnahmt


Mein Depotaufzug für Gazprom ist sogar auf russsisch aber trotzdemn keine Antwort seit 12 Tagen

mein Broker versucht die ADR zur Gazprombank zu verschieben aber Gazprombank gibt keine Antwort zu meinem Broker oder mir
das schon seit ca. 3 Wochen  

Es wird der Reisepass und der deutsche Inlandspaß benötigt, dazu der Kontoauszug.
Leider wird man damit auch in Königsberg nur das Konto erhalten und natürlich das schon vorher per email eröffnete Depot für Ausländer.
Eine Konvertierung der Russen-ADR in die Originale ist derzeit nicht möglich, weil Clearstream die nicht rausrückt.
Nur die Wandlung der Gazprom-ADR in Originale ist möglich.
Dazu muß man dann aber doch in die Zentrale nach Moskau.  

geht also nur vor Ort in Moskau?

wie soll man nach Moskau fliegen ohne Sicherheit das die eiegenen Dokumente akzeptiert werden

Und was ist wenn man nach Moskau fliegt und keinen Termin bekommen weil da noch 500 andere auf die gleiche Idee gekommen sind?  

Du kannst es durch einen Bevollmächtigten in Moskau erledigen lassen. Dies muss kein Anwalt sein. Dazu benötigst du eine beglaubigte und apostollierte Vollmacht, mit der derjenige deine Unterlagen abgeben darf. Es gibt Möglichkeiten dies vor Ort in Königsberg zu erledigen ebenfalls wieder übersetzt beglaubigt. Antrag wird dann mit allen Unterlagen nach Moskau gebracht und in der GPB abgegeben.

Ist es richtig, dass ich selber nach Kaliningrad fahren und dort die erforderlichen Unterlagen abgeben kann und diese dann intern von der Filiale in KG zur Hauptstelle nach Moskau geschickt werden. Dafür bräuchte ich dann keinen Beauftragten, oder?  

Besten Dank für die Unterlagen. Bei Frage 3 trifft für mich Punkt 1. zu. Daher muss ich nur Punkt 3.1. ausfüllen und nicht 3.2 und 3.3.. Ich habe das so verstanden, dass ich dann auch nur eine (aktuelle) Bestätigung zum Stand vom 27.4. benötige, aber keinen aktuellen Depotauszug. Ist das korrekt? Punkt 4.1. bezieht sich verm. auf die Verwahrkette. Hier wäre ich für ein Ausfüll-Beispiel sehr dankbar.
 

Die GPB Filiale in Königsberg macht nur die Verifizierung des Kontos. Nichts anderes!!
Wie gesagt es muss jemand die Unterlagen direkt in Moskau abgeben für dich oder du fliegst selber.  

Noch zu den Nachweisen: sie müssen original unterschrieben sein, sonst wird sie dir kein Notar beglaubigen!!
