If they don't acquire Spansion, they would need to launch price war against Spansion to knock them die.
My question is why spending money on the price war if Micron can just buy Spansion out.

Spansion Noteholders Oppose Silver Lake Equity Financing Deal

Spansion Inc.'s (SPSNQ) noteholders are accusing the company of "insider dealing" in its decision to allow private-equity firm Silver Lake Partners to backstop a $109.4 million stock offering rather than selecting the noteholders' "superior" offer to provide $112.4 million in equity financing.
The noteholders are urging the U.S. Bankruptcy Court in Wilmington, Del., to deny confirmation of Spansion's Chapter 11 plan of reorganization on the grounds that the company's poor business judgment in choosing Silver Lake's backstop proposal over the noteholders' offer renders the plan unconfirmable.
"The debtors' entry into this particular backstop rights purchase agreement with Silver Lake is clearly the result of insider dealing, is not 'entirely fair' and offends traditional notions of the sound exercise of business judgment," the noteholders said Tuesday in court papers.
According to the noteholders, Silver Lake's insider status derives from the "close ties" it has developed with Spansion's managers in recent months. And as the potential equity sponsor, the noteholders accused Silver Lake of "controlling the course" of Spansion's restructuring.
Neither representatives of Silver Lake nor its attorney in the bankruptcy proceeding were immediately available for comment Wednesday.
Spansion, of Sunnyvale, Calif., is awaiting court approval of a restructuring plan that relies on $559 million in new financing to pay creditors and serve as working capital, including $450 million in new debt financing arranged and underwritten by Barclays Capital Inc. The remaining funding would be supplied under Silver Lake's agreement to buy up whatever shares go unsold in the company's $109.4 million stock offering.
The noteholders said their "superior" equity financing proposal would provide $112.4 million in a rights offering that assumes the restructured company is valued between $1.2 billion and $1.5 billion.
Spansion, which makes the flash-memory chips used in such high-tech products as cameras and MP3 players, filed for bankruptcy protection in March with $1.5 billion in debt.

Ich hab ja gar nichts gegen die Entlassung aus Chapter 11 und auch wenig gegen die Restrukturierung. Nur mag ich entweder entschädigt werden oder aber meine Aktien sollen ihre Gültigkeit behalten :-)

U.S. taxpayers’ $2.3 billion stake in CIT Group Inc., which went through a bankruptcy restructuring last year, has officially been wiped out, The Wall Street Journal reports.
A New York judge blocked a move by California’s giant pension fund to start collecting on a $433 million claim against Lehman Brothers Holdings Inc. tied to bonds issued by the failed investment bank. Read the Daily Bankruptcy Review story here.
A U.S. bankruptcy judge said on Wednesday the Terminator movie franchise can be sold to California-based hedge fund Pacificor LLC, Reuters reports.
General Motors Co. is working to finish within the next couple of months an internal review of the 1,160 arbitration claims submitted by dealers that the auto maker closed as part of its bankruptcy process last year, according to WSJ.
Polaroid’s bankruptcy estate is auctioning off more than 1,200 works from its corporate photography collection, including works by Andy Warhol, Bloomberg reports.

In den Amiforen entstand vorher schon der Eindruck, dass es auf offen auztragende Konflikte hinauslaufen würde.
Allein das Verfahren gegen Samsung hätte offensichtlich viel Geld in die Kasse Spansions gespült.

Mein Eindruck ist allerdings, dass das (gierige) Management in Schwierigkeiten steckt. Deshalb vielleicht die vielen Dokumente, die offensichtlich gerade gelesen werden.

- Der Richter hat keine Entscheidung getroffen-
- Die Abstimmung war sehr knapp. Für Reorg-plan, aber viel Opposition.
- Einiges andere kommt jetzt hoch, was ich im einzelnen nicht übersehe.
Das bedeutet wohl, dass das Management damit nicht so einfach durchkommt.
Wirbrauchen noch Hilfe bei den Details.

This is very old news. I wonder why these crooks are releasing it again now. Maybe they they can't get the common shares wiped out so the next plan is to buy them all up at 2 cents after they drive them down. The release of this actualy encourages me. If the crooks have already won why bother to releas this again now. The judge has not ruled. In fact this report says it needs approval from the judge and a majority of debt holders. If you read the dockets you will see some very large debt holders have filed their opposition to the first plan and the amendments. I am not sure if there is a majority opposed or not. Don't forget everyone is waiting for the Samsung settlement. If the debit holders can hold till then they could get all their money. And we could all do very well. Also in the docket you can see the judge has excepted a major submission from the AD Hock committee representing us common share holders. The crooks were afraid of it going public so they filed a motion to have this submission sealed from the public which the judge granted. This is along way from over.

14-Feb-10 02:08 pm I agree that there are many creditors that appear to have a lasting beef with the DIPs...however, the ballots posted in Docket 2721 suggest slim majority plan approval...unless the judge says no or rewrites some of the ballots as has been done before...

Eine "Übernahme" durch "ANDERE", was in diesem Gewerbe z.Zt. sehr gerne durchgeführt wird um preiswert an Erfindungen und sonstige Highlight`s zu gelangen, nicht zu vergessen gleichzeitig den zukünftigen Konkurrenten auszuschalten um seine eigene Machtposition zuverbessern, unterliegt hier MEINER Spekulativen Meinung, mit all den dazu gehörigen/nachfolgenden Modalitäten (Umwandlung, Abfindung etc.)
d.h. weiterfahren und beobachten:)))
