Form 8-K for LOCAL CORP
10-Sep-2015
Change in Directors or Principal Officers
Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On September 9, 2015, Mr. David Hughes resigned from the Board of Directors of Local Corporation (the "Registrant") effective September 9, 2015. Mr. Hughes did not leave the Board of Directors of the Registrant because of any disagreement with the Registrant on any matter relating to the Registrant's operations, policies or practices.
Local Corp will be a Chapter 11, where shareholders do participate in the plan
"Investors should be cautious when buying common stock of companies in Chapter 11 bankruptcy. It is extremely risky and is likely to lead to financial loss. Although a company may emerge from bankruptcy as a viable entity, generally, the creditors and the bondholders become the new owners of the shares. In most instances, the company's plan of reorganization will cancel the existing equity shares. This happens in bankruptcy cases because secured and unsecured creditors are paid from the company's assets before common stockholders. And in situations where shareholders do participate in the plan, their shares are usually subject to substantial dilution. "
Source: SEC
When a corporation is on the verge of bankruptcy, its stock value will reflect the risk that a Chapter 11 may become a Chapter 7. For example, a company traded at $50 may trade at $2 per share due to bankruptcy speculation. If Chapter 11 is actually filed, the stock price may fall to 10 cents. This value is composed of the potential income that shareholders may receive after liquidation and a premium based on the possibility that the firm may restructure and begin to operate successfully in the future. Private investors can buy and sell these 10-cent shares in the OTC market.

According to BIA/Kelsey, $64.6 billion is spent annually across various types of media on
local ads — from merchants as well as ad agencies, networks and major retailers — to
generate calls to businesses.2 Considering that worldwide mobile phone penetration is projected
to reach 70% in 2014, with nearly two-fifths (1.75 billion) owning a smartphone,3
and with the proliferation of mobile phone use for searches, pay-per-call demand is poised
to increase. Additionally, call volume to businesses through mobile search is projected to
explode — from about 30 billion calls per year in 2013 to 73 billion by 2018.

Local Corporation (LOCM) now powers search for US Cellular (USM) and TracFone (AMX) with more carriers in negotiation, according to sources.
(1888PressRelease) April 08, 2015 - This is big new for Local Corporation (LOCM) as it further it's reach into new markets. These deals could represent huge gains for Local Corp as they seek to further their mobile reach. With a combined customer base reach of over 30 million this represent a huge win for Local Corporation.
Needless to say, Local Corporation's move to mobile just got a huge shot in the arm as the revenues from these agreements could be huge. Mobile has taken over as consumers spend time on their devices and Ad Revenues are projected to surpass Television. Local Corporation stands in very good footing as it works to partner with other carriers and providers.
Local Corporation's NQuery product really represents a shift in the company's mindset as it seeks to re-make itself. It is already paying dividends and hopefully future quarters reflect that. With costs cut and Local Corporation's lean mentality they are uniquely positioned to make a huge turn around. The amount of growth potential alone is tremendous with over 7.2 Billion mobile devices, over 43% of all Google searches being local, and 78% of local searches resulting in some type of offline action according to comScore. All of this means that LOCM may have just hit the jackpot with its new product line.

"Our Network, which reaches over 5 million MUVs, is our second largest source of revenue and is our largest gross margin business by percentage and in real dollars. Our product is a nationwide database of local business and product listings along with ad feeds which monetize those listings. We provide our product in the form of a hosted solution or via an ad feed solution. Our hosted solution is designed to generate search engine optimization (“SEO”) traffic to our partners’ sites and this helps those partners to increase their reach to new online users. As with Local, we monetize those users with ads placed alongside our content and we share revenue generated from those ads with our partners. Our ad feed solution is provided to sites that prefer to maintain their own look-and-feel and we share revenues in a similar fashion. Our Network consists of approximately 1,000 partner websites, such as local newspaper, television websites and other third party online publishers. We have a twelve month auto-renewing agreement terms with the majority of our partners. Our Network enables us to reach a larger audience than we can reach through our Owned and Operated properties and platforms alone."

Actua must pay only 20 million or less to pay back the debts of Local Corp and could for example offer for 40 shares of Local Corp one share of Acuta, which would by 23.4 million outstanding shares of Local Corp only increase the number of shares of Actua from 40.8 million to 41.4 million.
And the 20 million for the pay-back of debts can Acuta refinance easy through a sale of not needed assets and/or licensing the 14 valuable patents of Local Corp.
Important: All of the other businesses Actua has bought have retained leadership teams, and continued to operate as standalone units following the deals.
