Wenn man Vögel über unverdaute Getreidekörner in Pferdeäpfeln füttert, ist das sicher weniger effizient, als wenn man die Körner den Vögeln direkt gibt. Aber wenn enorm viel Getreide an die Pferde verfüttert wird, springt auch einiges für die Vögel raus.
Für so einen Vogel halte ich mich bei Local Corp und hoffe, dass die Angst vor der SEC und drohendem Knast den Verdauungsapparat der Pferde so gestaltet, dass sie recht viele Körner scheissen müssen, obowohl sie das nicht wollen.
Dauerpostings an die SEC mit Beschwerden über den Verdauungsapparat der Pferde könnten da meines Erachtens durchaus nützlich sein, wenn es sich um ein Unternehmen mit so einer niedrigen Marktkapitalisierung wie Local Corp handelt.

About the sleeping of the management by the regulation of debts in March 2015
“If Local Corp had offered for example only 5 million shares in last November, the proceeds were 7.5 milllion. If the CFO Cragun can't explain the waiting, he should be fired - and my estimate must be, that he and the management want to robber the shareholders and I will inform the SEC.
And I can't understand, that the management of Local Corp had not sold some patents, for example some of the 5 pay per call-patents - this were after my estimates the better solution as the extrem Dilution.
I accept the waiting, if the CFO explain, that abusive naked shortselling was not part of his planning. But I await, that the management sue the abusive naked shortsellers for a compensation.
On March 9, 2015, the Local Corp entered into a Securities Purchase Agreement relating to the sale and issuance of Senior Convertible Notes, comprising $4.57 million aggregate principal amount of new 8% Senior Convertible Notes maturing in April 2018 and initially convertible at $0.5534 (subject to adjustment), $250,000 of which was invested by certain management and board members, and $4.75 million aggregate principal amount of 10% Partially Liquidating Debentures maturing August 2016, initially convertible at $0.7090 (subject to adjustment).
But after my estimate, it could be, that the management worked together with the owner of this debts (Wolverine Asset Management, Wolvering Holdings, Wolvering Trading Partners Christopher L.Gust, Robert R. Bellick and members of the management of Local Corp).
In the last months before the financing the share-price dropped from $2 to $0.40 and therefore the SEC and Finra should take a look, if Wolverine Asset Management, Wolvering Holdings, Wolvering Trading Partners Christopher L.Gust, Robert R. Bellick and members of the management of Local Corp had direct shorted and/or indirect shorted before the financing had started and during the financing, because both are manipulations.

The trial of a second planned robbery of the shareholders without any reason should CFO Ken Cragun from Local Corp bring in prison.

On June 15, 2015, Local Corporation (the "Registrant") received a notice of termination effective November 1, 2015 from Yahoo! Inc. and Yahoo! EMEA Limited
(as successor in interest to Yahoo! SARL and together with Yahoo! Inc., "Yahoo")
with respect to that certain Yahoo! Publisher Network contract #1-26652287, dated as of November 1, 2012, as amended. The Agreement provides for the distribution of Yahoo's paid search results by Registrant for which the Registrant is compensated a certain percentage of the adjusted gross revenue (as defined in the Agreement) derived by Yahoo from such paid search results. The effective date of the Agreement is November 1, 2012 and was scheduled to end on October 31, 2017, subject to the earlier termination by either party on the second, third and fourth anniversaries of the Agreement upon sixty (60) days advance written notice. Yahoo has elected to terminate on the third anniversary pursuant to this notice of termination. Item 1.01 Entry into a Material Definitive Agreement.
On April 29, 2015, the Registrant entered into Amendment Number Seven (the "Google Amendment") to that certain Google Services Agreement with Google Inc. dated June 30, 2011, as amended by Amendment Number 1, dated December 1, 2011, Amendment Number 2, dated February 1, 2012, Amendment Number 3, dated May 1, 2012, Amendment Number 4, dated June 1, 2012, Amendment Number 5, dated June 21, 2013, and Amendment Number 6, dated October 1, 2013 (the "Google Agreement"). The Google Amendment provides for an extension of the Google Agreement until March 31, 2018, subject to each party's right to terminate the Google Agreement earlier for convenience on March 31, 2017. The Google Amendment also modified implementation criteria with respect to the advertisements provided by Google among other terms. Google maintains very strict standards with respect to the display of Google's pay-per-click advertising and the Registrant must continue to meet those standards pursuant to the terms of the Google Amendment and the Google Agreement in order to continue to display such Google pay-per-click advertisements. Thank you. Hi, guys. Just to go back to the network business a little bit. It is shrinking quite a bit year-over-year. You made some comments that seem it could level off from here for the rest of the year. One thing that I think maybe investors would like to understand a little better, I guess, is the shortfall on the network revenue side, the anticipation was that maybe mobile would make up some of those declines on the network side. Is mobile contributing in any way meaningfully at this point? Or do we expect mobile to pick up maybe in the later half of the year?

Thanks, Amit. We have rolled out our mobile search product nQuery with multiple carriers and we have installed search solutions in 18 countries. But it's still early and the levels of traffic have not ramped as expected. We are a little bit on the timeline of the carriers. It's installed, it's working, more ad test levels and we do expect and we did expected the volume to ramp in the first quarter. We are now anticipating that to ramp to more significant levels of revenue in the second half of the year.

The following cost-cutting lower the cost in Q2/2015 about 0.6 million: “Late in the first quarter, we had a reduction in force from about 70 people to 60 people and we have looked at other cost savings and we think that will contribute another approximate $2 million in savings to the $3 million in savings actions we took in the fourth quarter.”
Very important for a positive cash flow in the next quarters is the decouopling between the revenues and the cost of revenues in the last quarters: The decline of revenues in Q1/2015 took place by a decrease of the cost of revenues of less than 0.5 million. The result will be, that by an increase of revenues from 13.1 million to 14.6 million the increase of the cost of revenues will be only 0.3 million.

Local Corp could license the Krillion technology as part of the agreement and could continue to use the technology in its Local Corp. product offering. Similar were done in the agreement by the sale of Rovion to Gannett about three years ago.
Local Corp has never been tested with a published result, because the most named companies in my last posting have vastly more resources (cash and their own patent portfolios to fight back with) than Local Corp and Local Corp had to wage such a battle. But a company with more cash than Local Corp can get bigger riscs and realize the value of the patent a lot better (licensing fee's, better position to fight back and other reasons). My favorite's for a buy are Groupon, Ebay, Foursquare and Facebook, which established a new offer, which could hurt patent #8,032,427.
