ein enormes Interesse an der Wertsteigerung der Aktie haben, denn sein Gehalt besteht nur zu einem Drittel aus einem Festgehalt und zu zwei Dritteln aus Optionen auf Aktien. Was ich nicht weiss ist, ob diese Optionen einen Verwässerungsschutz beinhalten, sodass ihm die Verwässerung durch die Convertible Bonds nichts ausmacht.

Dieses Gehaltsgestaltung beruhigt einem schon etwas. Völlig beruhigt wäre ich, wenn Null Verwässerungsschutz für diese Optionen existieren würde.

We have five new owner from Wolverine-Group and every owner has convertible bonds, which can changed in 6.39 million shares = together 32 million shares and additional 0.6 million shares from the change of the convertible bonds of the management = 32.6 million new share. Together with the existing 23.4 million shares would exist now 56 Million shares, if the convertible bonds would be changed in shares.

I am not happy about this solution and criminal robbery of the shareholders and I believe, that there had exist better alternatives and the chosen alternative was a criminal robbery of the shareholders through the management. But on the other side is this solutions not a reason for the idiotic low market-cap of only 9 million yesterday. And positive is, that by change of the loan for shares the debt were reduced and Local Corp get additional working-capital of 3 million.

Financial guidance for 2015 remains consistent with that provided on Jan. 12, 2015. Revenue is expected to be in the range of $82 million to $86 million. Adjusted EBITDA is expected to be in the range of $3 million to $4 Million Less

Stanguru compensated a part of the dilution through strong buys in the last days and owning mow 132,000 shares = 0,24% of the outstanding 56 million after a conversion of the convertible bonds.

das Management in Zusammenarbeit mit der Wolverine-Gruppe hatte ich im letzten Posting statt von 1,50 pro Akite über 3 Euro pro Aktie geredet.

Aber bei Ausübung der Convertible Bonds ist Wolverine ja jetzt der Mehrheitsaktionär und ich hoffe daher, dass sie an einer ordentlichen Kursentwicklung interessiert sind, denn mehr als zwei bis drei Jahre halten Finanzinvestoren von diesem Schlag ihre Beteiligungen meist nicht. Nachdem Wolverine bei der leltzten Finanzierungsaktion das Recht schon sehr gedehnt hat,sodass die SEC eigentlich hätte eingreifen müssen und das vielleicht auch noch tut, werden sie vermutlich in Zukunft vorsichtiger agieren und etwas mehr mit uns teilen.

I was not happy about the extreme expensive, dilutive and criminal financing-agreement with Wolverine , but positive could be, that a very successfull hedge-funds is now looking at the Management
.

But this will only be positive, if Wolverine and the Management will stop the robbery, which had stannguru posted in all details to the SEC and Finra, of the other shareholders.

And I hope, that the SEC and Finra will take a look, what had happened and will stop a new robbery of the existing shareholders through the management and/or Wolverine.

First positive effect from Wolverine for example the sale of the 14 patents until the end of 2015 and maybe an additional agreememt that Local Corp can use some of the sold patents for free makes sense, because bigger companiies than Local Corp can monetize teh patents a lot better -


if the patents were sold for fair prices.

muss ich eventuell mein bisher überwiegend negatives Urteil über den potentiell neuen Hauptaktionär Wolverine, den CFO (über den nur teilweise) und das Management etwas korrigieren, denn da gibt es anscheinend noch einen böseren Buben: dlen bisherigen Kreditgeber Square-Bank, die sich offentsichlich für Peanuts die wertvollen Patente unter den Nagel reißen wollte:

The question of the future must be: What is the value of a company with revenues of 82 - 86 million and a EBITDA of 3 -4 million in 2015?

For this assumption of pressing Square-Bank-Robbers speaks, that the credit existed long before this additional secuurity were part of the agreements. Another increase of securities was, that Local Corp must have double acounts of the amount of the credit - idiotic by about two thiirds debts of Google and Yahoo.

gegenüber der Square-Bank scheint berechtigt gewesen zu sein. Es wird immer deutlicher, dass die versucht haben, Local Corp an die Wand zu drücken, um so an die Assets zu kommen.

Leider hat meines Erachtens der langjährige CFO Cragun, der vorher auch schon stellvertretender CFO war, gepennt, und zu wenig Liquiditätsvorsorge getroffen, auch wenn man ihm zubilligen muss, dass die Local Corp beeinträchtigenden Wendungen von Google sehr extrem ausfielen - aber ein Trennen von zumindest einigen Patenten muss m.E. kurzfristig möglich sein, wenn auch nur mit Discounts. Aber das wäre immer noch besser gewesen, als die dann notwendige Lösung mit stark verwässernden Wandelschuldverschreibungen.

Aus dem vorstehenden Posting könnt Ihr ja erseehen, dass die Square-Bank die Daumenschrauben enorm angedreht hat. Man ließ sich z.B, alle Patente verpfänden, was Local Corp seltsamerweise mitmachte - übrigens zu einem Zeitpunkt, wo man mit der Ausgabe von 8 Millionen Aktien die Schulden hätte tilgen können, jetzt sind über 30 Millonen nötig, wenn man über die Wandelschuldverschreibung alle Schulden los wird. Idiotisch war auch, dass man zuletzt das Doppelte der Kreditsumme an Kundenforderungen abtreten müsste, die zu 2/3 gegenüber den bombensichern Google und Yahoo bestanden - nach deutschen Recht war eine solche Übersicherung übrigens sittenwidrig und damit ungültig. Das führte dann dazu, dass bei einem Abbau der Kundenforderungen enorme Cash in die Kreditrückführung fließen musste. Und im März glaubte man wohl bei der Square Bank an den gelungenen Abschuss, weil man gleichzeitig mit dem Fällig-Werden der Wandelschuldverschreibung über 5 Millionen den Kontokorrentkredit nicht verlängerte.

Dass jetzt ein "weißer" Ritter, der in die Bresche springt, wie das Wolverine und die Kontokorrentkreditbank taten, sich das ordentlich bezahlen lassen, ist klar - und sehe ich jetzt die Rolle von Wolverine sehr viel gediegener als in meiner ersten Empörung über die hohe Verwässerung und die hohen Kreditzinsen. Aber ich bleibe dabei, dass ohne das Pennen des CFO vieles davon überflüssig gewesen wäre.
