Joke, denn in ihrem Mittelpunkt steht, dass Local Corp die Rückzahlung einer Wandelschuldverschreibung in der "sensationellen" Höhe von 5 Millionen Dollar nicht finanzieren könne.

Local Corp is well positioned to address the convertible debt of only 5 million in April 2015

Local Corp can for example increase the number of shares from 23.5 to 27 million = 3.5 million and add 1.5 million from the cash.

But most likely is after my opinion, that the share-price is in April 2015 above $2.01 and the owners of the convertible bonds will convert the bonds in shares.

The financial monetization of patents has only started by one (the oldest) patent of 13 patents. And by the first trial by hundreds or thousands, who hurt these patent of Local Corp. we saw a very big success for Local Corp: A payment of $700,000 for Local Corp from Fry’s

But this $700,000 will never standing alone – take a look at the speech of the CEO as the settlement was published, some weeks ago.
”We have identified hundreds of websites and applications that we believe infringe upon this patent and believe there are likely thousands more. We have set a clear course to begin the process of licensing this patent and expect to continue to report the results of these monetization efforts with greater frequency. Overall, we currently believe that a conservative estimate of potential future licensing fees that could be generated from this patent is $100 million. Local Corp can offer a new convertible debt and us the money to pay back the older convertible debt.

Local Corp can use the announced option to sell a part or all five pay-per-call-patents and licensing these patents.

Local Corp can use the 4.311 million cash and other current assets of 0.445 million.

Cash Flow in Q4/2014 and Q1/2015 can be 7.4 million again like in Q2/2014 and Q3/2014.
Total Cash Flow From Operating Activities was with 7.4 million positive in the last half year
Period Ending Sep 30, 2014 Jun 30, 2014

sich in Grenzen halten:

Local Corp can for example increase the number of shares from 23.5 to 27 million = 3.5 million.

Oben steht noch zusätzlich "and add 1.5 million from the cash", was beim momentanen Kurs auf ca. 0,5 Millionen Cash sinken würde.

nQuery - the facts

- nQuery™, our new white-label search experience that opens up the market for mobile carriers and other enterprise partners to participate in revenue from mobile search.

- Our initial nQuery relationships are expected to give Local Corporation potentially significant market share in the Tier II mobile phone carrier marketplace and contribute significant incremental revenue later this year and into 2015..

- The company recently launched nQuery™ by Local, which provides a white-labeled, hosted search solution that powers customized local search experiences and supports the company’s goal to populate local search across the Internet of everything..

- The company recently entered into partnerships with entities that specialize in monetizing subscriber traffic for mobile operators and Wi-Fi networks. The company is implementing its nQuery solution with a top five global carrier. nQuery is already deployed with a major U.S. mobile carrier, 18 international and prepaid MVNOs and 10,000 U.S. hotels.

- nQuery is already powering millions of user searches per month and is expected to grow significantly with the onboarding of new partners. Less

seo-and-the-internet-of-things

"Imagine 10 years ago, leaving the airport at 2 AM in a new city with no contacts and no plans. The idea that you could use your phone to find and book a nearby hotel ns. The idea that you could use your phone to find and book a nearby hotel (based on ratings and reviews), request and pay for a ride (and get an arrival estimate), and make breakfast plans – all while messaging friends across the country – was thought to be incredible. “Blue sky” thinking, they called it.

And yet, now it’s all here. It’s amazing, but also completely normal. Marketing is different. SEO is certainly different. But in many ways it’s still the same. Like we outlined in our new definition of SEO, it’s still about Solving Problems, Engaging Audiences, and Optimizing Everything.

The new “blue sky” thinking in 2014 is about the Internet of Things—the shift to assigning every single thing an IP address and connecting it to the Internet.
But it’s going to get even crazier in the next 10 years. And just like the shift from desktop to mobile, the Internet of Things is going to mean huge challenges and opportunities for marketers – and specifically for SEOs."

We believe these efforts will result in traffic growth in early 2015
As discussed, our second and third quarter network revenue declines reflect our efforts to manage and optimize network traffic to combat the pervasive increases in fraudulent traffic activity across the industry.

While implementation took longer than expected, we now have deployed Integrity. It is already delivering higher quality traffic and contributing to increasing network revenue. Monthly unique visitors were 66 million for the third quarter, compared to 73 million in the second quarter of 2014.

In the fourth quarter, we are currently implementing additional keyword campaigns, new vertical sites, and more local content across our O&O properties. We believe these efforts will result in traffic growth in early 2015.

I believe, that a bigger company with more cash and more market-power than Local Corp can reach a very bigger amount than Local Corp by the monetization of these patents.

Pay per call leads convert at a rate of 10-15% while other forms of digital advertising convert at 2-3%

3 Reasons Pay-Per-Call Beats Pay-Per-Click Every Time
June 11, 2014

A phone call is a powerful thing, and if your business relies on leads, a phone call is one of the most valuable ways a lead can make contact. After all, a phone call is personal, one-to-one, and accessible equally to every demographic. There is a reason that pay per call leads convert at a rate of 10-15% while other forms of digital advertising convert at 2-3%. In fact, here are three reasons why the call is mightier than the click:

Source: Read the complete Article direct at Soleo

The value of a phone lead

One reason the pay-per-call industry is growing so dramatically is that businesses are realizing the value of a single phone lead. Conversion rates are consistently higher for phone leads as compared with other types of leads. While phone sales is nothing new, the concept of marketers billing on a per-call basis is relatively new. As local businesses realize the value of phone leads, they’re willing to pay well for them.

Mobile technology and the pay-per-call industry
Another reason for growth in the pay-per-call industry is the advent of mobile click-to-call. Never has it been easier for potential customers to be connected with sales representatives by phone. Click-to-call is driving a very large number of high quality leads to businesses

and a price target of $4.00 on September 4, 2014 7:23 AM EDT

H.C. Wainwright initiated coverage on Local Corp with a Buy rating and a price target of $4.00.

Analyst Amit Dayal said, "LOCM is in the early stages of implementing a new business strategy that over time should make the business less dependent on its traditional partnership-driven, search monetization model. Some of the big changes that have taken place over the last few quarters include a new CEO and new strategic initiatives that should boost organic traffic and revenues and allow for stronger margins. Under the new CEO there has been a renewed emphasis on R&D, which we believe should allow the company to introduce new products and services that leverage the ‘local search’ and ‘local commerce’ theme. Our price target of $4.00 translates to an EV/Rev multiple of ~0.8x (in relation to our 2015 revenue expectations for LOCM), which we believe is conservative relative to its peers and accommodates for the early stages of various new strategic initiatives underway at the company."

Source: streetinsider/Analyst+Comments Less

And additional positive had happened since early September:

• “LOCM is in the early stages of implementing a new business strategy that over time should make the business less dependent on its traditional partnership-driven, search monetization model.”

• Local Content and Search Engine Marketing Expansion: This quarter, the company continues to ingest new category data from additional sources, while adding content partnerships for its O&O properties. The company is also initiating additional keyword campaigns, vertical categories and rich content enhancements. Together, management believes these will increase traffic. :

• Successful Programmatic Launch: The company entered the programmatic media marketplace to leverage its robust local audience data and connect advertisers with real people in real time, on the right platform. The company’s valuable, high-intent, first-party consumer data, includes behavioral, geo and device attributes from its 20 million monthly unique visitors across its O&O properties. The company anticipates this will enable additional scale over time, as any number of publishers can access multiple advertisers and multiple, targeted ads based on specific interests.

• Mobile Search Advances: The company is implementing its nQuery solution with a top five global carrier. nQuery is already deployed with a major U.S. mobile carrier, 18 international and prepaid MVNOs and 10,000 U.S. hotels. Providing a custom, hosted search solution, nQuery now powers millions of search queries globally. The company expects to further grow nQuery via partnerships with entities that specialize in monetizing subscriber traffic for mobile operators and Wi-Fi networks.

Not part of the valuation through H.C. Wainwright from September 4, 2014 are the news about the monetization of the Patent No. 7,062,453.

Local Corp had only started the monetizaton of patents with the following oldest patent of it’s 13 patents. No patents is capitalized in the balance sheet today, but only the following patent alone could have a value of 100 million..

In September, the lawsuit against Fry’s Electronics, Inc. regarding the infringement of Local’s U.S. Patent No. 7,062,453, which covers “methods and systems for dynamic networked commerce architecture” was settled to the mutual satisfaction of the parties, and Fry’s Electronics, Inc. agreed to license the patent. Local Corporation is continuing its efforts to enforce its intellectual property rights.

At the date of the publishing of the license an amount was not published, but now through the filing of 10 Q you can recognize the amount:

"Income from settlement and patent licensing
During the third quarter of fiscal 2014, we reached a settlement agreement in the patent infringement action against Fry’s Electronics, Inc. As part of the settlement agreement, we received a one-time patent license fee payment of $700,000 related to prior infringement of our patent."

But it will come a lot better, if you look at the following sentences of the CEO by the publishing of the license:

“We have identified hundreds of websites and applications that we believe infringe upon this patent and believe there are likely thousands more. We have set a clear course to begin the process of licensing this patent. Overall, we currently believe that a conservative estimate of potential future licensing fees that could be from this patent is $100 million. We believe we are well-positioned to explore the monetization of our other patent families as well, including our pay-per-call patents.”

about when they’re searching for products from their mobile devices.
With mobile’s ever-increasing influence on the shopping experience, there are three vital questions consumers care about when they’re searching for products from their mobile devices:

1. Is it carried near me? Consumers want to know if nearby retail locations sell the product they're interested in.

2. Is it available in store? Consumers want to know if the product they want to buy today is available in a nearby store.

3. How much does it cost? Consumers want pricing information on products.

We believe the consumer shift to mobile devices presents a tremendous opportunity for us. Today, consumers are using their mobile devices more than ever before to search for local products and services.

We believe that Local can become the technology engine which powers third party apps and sites that seek to provide on-the-go mobile consumers with the local business, product, and service information they want, when they need it, along their path from discovery to decision. If this happens, we believe we will be in a better position to control our financial future by having direct relationships with retailers and brands and as a result we expect to be able to reduce our reliance on third party advertisers.

In addition, we believe that any wide adoption of the Local technology platform would result in access to an immense amount of data about retailers, manufacturers, and consumers alike. We believe this could further evolve Local’s platform into a location-based data play, complete with highly valuable consumer behavior trends, price history by category and other valuable information. We believe we are in the early stages of this evolution in consumer search and we believe we are well positioned to take advantage of it.
