Company Withdraws Form S-1 Filing and Reduces Financing Debt

SIOUX FALLS, S.D., Jan. 22, 2013 /PRNewswire/ – AquaLiv Technologies, Inc. (OTC QB: AQLV), a life sciences research and development company and  now a vertically integrated premium natural food producer, announced today unaudited revenues of its newly acquired subsidiary, Verity Farms, and several steps intended to strengthen the company in preparation for reorganization and growth. Among these are the internalization of existing debts and withdrawal of the company’s S-1 registration, along with a previously announced name change to Verity Inc. to reflect the expanded mission of the public entity.

The company announced that early accounting for the calendar year 2012 points towards Verity Farms realizing revenues of $2.36 million, a 20% increase over its previous year. A financial audit of Verity Farms is in progress. The complete 2011 and 2012 financial statements for Verity Farms will be released and filed with the Securities and Exchange Commission (SEC) upon completion of the audit.  

Recently appointed CEO of AquaLiv Technologies, Duane Spader, said, “With combined revenues of nearly $2.77 million and assets of approximately $4.5 million, this company’s financials are nothing like before. We’ve also have begun reorganizing some existing debts of the company to eliminate the negative impact to shareholder value while enhancing our financial flexibility.”

Over the past quarter the company has retired over $100,000 in corporate debt and paid off a third party note with TCA Global Credit Master Fund, LP, exceeding $241,000, with a note from its new CEO.  The company also withdrew its Form S-1 filing, which allows the company to focus its energy on the business combination and seek better valuations for future capital raises.

noch schön der Kurs gedrückt und gesammelt... in 1 bzw. 2 Wochen kleiner Bericht bei bekannten Internetportalen bzw  üblichen Verdächtigen gesetzt. Dann explodiert das Ding. Also immer schön die Ruhe bewahren. Just my 2 cent.

Vor allem am Ende habe ich egtl. schon mit dem Kurslevel auf der 0,0048 abgeschlossen, aber dann kam es doch nochmal auf die 0,0058 :D

Interessant ist auch, dass die Briefseite gleich von 10.000.000 auf 2.276.000 geschrumpft ist !  

fiel mir gestern schonmal auf. immer wenn ein kurs gemacht wird,
egal ob aus dem bid oder ask, springt das ask auf 10 mio.
ist wohl softwareseitig so eingestellt. und wenn der schlafende mm
in berlin das nicht ändert, bleibt es stehen.
die mengen anpassen tut er eh nur nach lust und laune.
wie ich schonmal schrieb, wurde ich mal nicht bedient, obwohl
angeblich genug da war und ich passende ordes hatte.
anruf in berlin ergab dann, dass diese quotes nicht stimmen müssen!
also die quotes lesen wie die blödzeitung. nix wert..............  

steht schon in den startlöchern, letzte woche hatten die amis über 100mio volumen, die haben nicht vor ihre anteile mit verlust zu verkaufen und wir mit sicherheit auch nicht, wenn jetzt noch paar gute news erscheinen, könnte das hier in den kommenden wochen  auf 2-3 cent schießen...

Heute ist es soweit; die Realisierung der News wurde in den Investment-banking Abteilungen an der Wallstreet gestern noch besprochen und dessen Wirkung analysiert und heute kommen die größeren Käufe! m.M. + normaler Prozess bei OTC-news release!  

was ist schon normal bei Pennys ?

Kommt die Mehrheit der Beteiligten zu dem Ergebnis, dass der aktuelle Kurs nicht den Wert des Unternehmens widerspiegelt, so wird auch über Investitionen in diesem Sektor nachgedacht!
