The Company expects to achieve significant increases in revenues this year and next. Management estimates it will breakeven in the current quarter and profitable in the second half of this year. We estimate the Company will earn about $0.10 per share this year and $0.20 per share next year.
RSCA shares trade at a price to earnings ratio of 0.7x our 2004 earnings estimate of $0.10 per share and 0.4x our 2005 earnings estimate of $0.20 per share. Given the company’s acquisition strategy and the strong projected revenue growth, we believe the stock should sell at a price to earnings ratio of approximately 10x our estimated 2005 earnings of $0.20 per share. "Our focus was to provide one-stop shopping for entertainment," said Eric Heidorn, general manager. "You can show up at 4 o'clock, have a few cocktails, have dinner, watch a comedy show then have your choice of dancing, watching sports or seeing a live band.
"We wanted to bring to Jackson the type of club that hasn't been here before."
Headliners multi-venue location includes Banana Joe's Island Party, Cactus Cafe, Rascals Comedy Club and Headliners Live. The Jackson club has even become the prototype for future clubs that the company will open in other cities around the country.
The party begins in the Cactus Cafe, which includes a sports bar, cafe, patio bar and a cigar/martini bar. The Cactus Cafe serves up a combination of American Tex-Mex including tacos, chimichangas and even fish tacos along with traditional bar food such as burgers, buffalo wings and cheese sticks. On August 6, they will be hosting a luau on the patio that will be complete with a roasted pig. Specials will be available to those who come dressed ready to party in Hawaiian garb. Once football season starts, the Cactus Cafe will begin opening at 11 a.m. on Saturdays and Sundays offering a variety of NFL and NCAA games in the sports bar.
The booming beats of dance music, tropical decorations and a playful bar staff make Banana Joe's Island Party a distraction from reality. "The concept was to create an escape for people that work 40 hours a week and are tired of being in an office. You can't talk about your problems here because it is impossible to talk over the music. It gives them a place to escape from reality for a little while," said Heidorn.
He said Banana Joe's has one rule - ladies can dance on any flat surface including the bar, but men must keep their feet on the floor. It also is not uncommon to see bartenders in a whipped cream fight or spraying each other; anything just to have fun and loosen up for a little while. Thursday nights through Aug. 19, Banana Joe's is hosting the Miss Hawaiian Tropic International swimsuit competition with the finals on Saturday, Aug. 28. Lane Louther, the head bartender (and "the heart and soul of fun around here," Heidorn said), along with Johnny O from Y101 are emceeing the competition. Anyone interested in competing should call 957-6110 and ask for Taylor Smith, Headliners party coordinator.
Renowned comedienne Brett Butler will be performing at Rascals Comedy Club September 10-11. Heidorn said every comedian that performs at Rascals is a professional comic that has appeared on Comedy Central or HBO and they try to offer nationally recognized comedians every other month.
Heidorn's favorite area and his brainchild, Headliners Live offers live music from the best acts in the region and beyond. He knew that with the Dock closing, Jackson needed another venue for live bands. They plan to bring in some of the same bands that regularly played at the Dock and a few others Heidorn has found. Crossfade, now in heavy rotation on Rock 93.9, will be at Headliners Live this weekend. In the next few months this area will be completely overhauled for better sound quality and a better look.

Rascals owner buying Fourth Street Live clubs
Headliners Entertainment Group Inc., the New Jersey-based owner of the Rascals Comedy Club at Fourth Street Live, is buying two other clubs at the downtown development.
According to a news release from Headliners, the company has signed binding agreements to buy a chain of 10 dance clubs from JHF Properties LLC of Dublin, Ohio. The chain includes the Red Cheetah dance club and Parrot Beach bar at Fourth Street Live. The deal also includes clubs in Columbia S.C.; St. Louis; Miami; Tulsa, Okla.; Kansas City, Mo.; Omaha, Neb.; Jackson, Miss.; Cincinnati; and Tucson, Ariz., that operate under the names Banana Joe's, Margarita Mama's, Red Cheetah, Parrot Beach and Cactus Cafe.
Officials with JHF Properties and Headliners Entertainment could not immediately be reached for comment.
According to filings with the U.S. Securities and Exchange Commission, Headliners will pay about $6.5 million and more than 62 million shares to acquire the chain. The clubs generate more than $20 million in annual revenue with a 15 percent pre-tax profit, the release said.
The release said JHF's executives, Paul Butler and Jon Field, will continue to provide consulting and management services for the clubs for five years following the acquisition. The deal is expected to close "as soon as the audits of the financial statements of the clubs are completed," the release said.
Headliners Entertainment (OTCBB: HLNR), which formerly operated as Rascals International Inc., operates clubs in five cities. The company is based in Montclair, N.J.
