Interview with David Miller Mobile Discovery and Iain McCready NeoMedia

Today I had a great interview with not one but two companies in the mobile barcode space.
Who?
Well the first is Mobile Discovery. Mobile Discovery provides a mobile advertising solution for the mobile barcode space. Basically, this is a mobile advertising network specifically for mobile barcodes.
The other party was NeoMedia a mobile barcodes company that enables interactive barcode solutions and the infrastructure for mobile barcode services.
I have written long and often on NeoMedia and a little bit on Mobile Discovery so today was a great chat about the mobile barcode market and the vision for the future. A longer indepth report of the interview (one on each company) will be written after CTIA.
I am doing it like this as my mind started spinning during the interview with the potential of the mobile barcode market and synergies of engagement and growth. In fact, being in the US I nearly even jumped up and gave David Miller the CEO of Mobile Discovery and Iain McCready CEO of NeoMedia a “high five” at one point.
I didn’t – but I did think about it!
Why?
Well. In many markets globally eco-systems have been created but have been broken by a lack of involvement, trust and mutual development in the field. Politics or fear of competition has often meant that young business or new companies are not effectively supported. So, in this interview – nothing was official said but I could a meeting of the minds evolving.
What am I talking about?
OK. I meet mobile agencies, mobile operators, vendors and publishers daily. They all see the potential of the mobile barcode or interactive advertising space but are not sure how to move or run a campaign. Barcodes are so common to everyone globally and the market is educated on what barcodes look like. In this light it is a no brainer to use mobile barcodes for advertising. Again it is a no brainer that users know how to engage with a mobile barcode or short code.
The problem lies in that the arsenal of enterprise companies realize the potential but don’t know how to personally monetize it for their business. The success of the mobile barcode market lies in ensuring this monetization can occur simply.
In particular, brands, agencies and publishers are willing and have wanted to deliver and use mobile barcodes in marketing and interactive campaigns but have not known how.
In this particular point in time the eco-system for mobile barcodes has been created. Empowerment is step two and a quick follow on from that is monetization.
So, when NeoMedia asked me to sit down with them and Mobile Discovery my mind started ticking and by the time they started speaking today – I was a loaded gun.
But first of all highlights of the interview
Bena: How are we going to accelerate the mobile barcode space?
David Miller: Before I tell you – would you mind if filled you in about me.
Bena: Sure!
David Miller: I worked at Sprint for five years my role was to research and accelerate the mobile 2D barcode space. I didn’t want to create applications for the phone but to provide an interactive mobile advertising solution.
Bena: A barcode ad server?
David Miller: No. To create a web portal self service solution for mobile barcodes enabling the content management of campaigns.
Bena: A mobile advertising platform for the mobile barcode space?
David: I prefer the term advertising network.
Bena: Got it! So (looking at Iain McCready) how are we going to accelerate the mobile barcode space?
Iain: By creating strong partnerships and synergies to align all companies for the next growth phase.
Bena: So you have the barcodes and the platform and now the aim is to make sure that interactive for brands and monetization is next.
David and Iain: Exactly.
Bena: That sounds great because sometimes markets fail or are slower than necessary to grow because of lack of collaboration with similar companies.
David and Iain: Exactly. (High Five moment was right about now!)

Washington, DC, 17 September 2008 - Die Securities and Exchange Commission hat heute mehrere aufeinander abgestimmte Maßnahmen zur Stärkung der Investor Schutzvorkehrungen gegen die "nackte" Leerverkäufe. Die Maßnahmen der Kommission gilt für die Wertpapiere der alle öffentlichen Unternehmen, einschließlich aller Unternehmen im Finanzsektor. Die Maßnahmen sind wirksam bei 12:01 Uhr ET am Donnerstag, den 18. September, 2008.
"Diese Reihe von Maßnahmen heute machen es glasklar, dass die SEC hat Null-Toleranz für missbräuchliche nackte Leerverkäufe", sagte SEC Chairman Christopher Cox. "Die Enforcement Division, das Amt des Compliance-Kontrollen und Prüfungen, und die Abteilung für Handel und Märkte haben nun diese Waffen in ihrem Arsenal in ihren anhaltenden Kampf zu stoppen vorsätzliche Manipulationen."
In einem normalen kurzen Verkauf, die kurz-Verkäufer lehnt sich ein Lager und verkauft sie, mit der Maßgabe, dass das Darlehen zurückgezahlt werden muss durch den Kauf der Aktien auf dem Markt (hoffentlich zu einem niedrigeren Preis). Aber in einer missbräuchlichen nackt kurze Transaktion ist der Verkäufer nicht wirklich leihen die Lager, und nicht, um sie an den Käufer. Aus diesem Grund, nackt Kurzschließen kann Manipulatoren zu zwingen, die Preise weit niedriger als möglich wäre, in berechtigten kurz-Selling-Bedingungen.
Die heutigen Maßnahmen der Kommission, die das Ergebnis der formalen Regelungen im Rahmen der Verwaltungsgerichtsordnung Gesetz, über seine zuvor ausgestellt, um Sofortmaßnahmen, die beschränkte sich auf die Wertpapiere der finanziellen Unternehmen mit Zugang zu den Federal Reserve's Primary Dealer Credit Facility. Da die Agentur der Ausübung ihrer Not-Behörde ist begrenzt auf 30 Tage ist, wird das vorherige Bestellung nach 12 (k) (2) des Securities Exchange Act von 1934 lief am 12. August 2008.
Die Maßnahmen der Kommission waren wie folgt:
Hard T +3 Close-Out-Anforderung; Strafen für die Verletzung Include Verbot von Weitere Short Sales, Pre-Zwingendes Kreditvereinbarungen
Die Kommission hat einen Zwischenbericht über die endgültige Grundlage, eine neue Regel zu verlangen, dass kurz-Verkäufer und ihre Broker-Dealer liefern Wertpapieren durch den Geschäftsschluss des Abrechnungsdatum (drei Tage nach dem Verkauf Transaktion Datum oder T +3) und die Verhängung von Sanktionen wegen Nichterfüllung zu tun.
Wenn eine kurze Verkauf verstößt gegen diese enge-out-Anforderung, dann wird jedes Broker-Dealer, die auf den kurzen Namen des Verkäufers wird untersagt, weitere kurze Umsatz in der gleichen Sicherheit, es sei denn, die Aktien sind nicht nur lokalisiert, sondern auch vor-geliehen. Das Verbot der Broker-Dealer-Tätigkeit gilt nicht nur für kurze Umsatz für die besondere nackt kurze Verkäufer, sondern für alle Leerverkäufe für jeden Kunden.

Die Kommission genehmigte eine endgültige Regelung zur Beseitigung der Optionen Market Maker Ausnahme von der Close-Out-Anforderung von Artikel 203 (b) (3) in der Verordnung SHO. Diese Regel ändern, auch wirksam wird auf 12:01 Uhr ET am Donnerstag, den 18. September, 2008.
Dies hat zur Folge, Optionen Market Maker werden gleich behandelt wie alle anderen Marktteilnehmer, und verpflichtet, sich an die harte T +3 Glattstellung Anforderungen, die effektiv Verbot nackt Leerverkäufe.
Regel 10b-21 Short Selling Anti-Fraud Artikel
Die Kommission verabschiedete Regel 10b-21, die ausdrücklich Ziele Leerverkäufe betrügerische Transaktionen. Die neue Regel gilt für kurze Verkäufer, täuschen Broker-Dealer oder andere Marktteilnehmer. Genauer gesagt, die neue Regel stellt klar, dass diejenigen, liegen über ihre Absicht oder Fähigkeit, Wertpapiere in der Zeit für die Abrechnung sind gegen das Gesetz, wenn sie nicht liefern. Diese Regel auch wirksam wird auf 12.01 Uhr ET am Donnerstag.

General Information
The Board of Directors has unanimously voted in favor of the Company decreasing the par value of the Company’s common stock from $0.01 to $0001 and strongly urges you to vote in favor of this proposal. The Board believes that a decrease in the par value is in the best interests of the stockholders because it will provide the Company greater flexibility to sell and issue shares of its common stock when desirable. State corporate laws prevent the Company from issuing shares of its common stock at a price per share below par. In light of the fact that the Company’s common stock has consistently traded below $0.01 in recent months, the Company has been unable to sell and issue shares of its common stock at current market prices. Lowering the Company’s par to a value which is less than recent market prices will enable the Company to do the following:
- Comply with the terms of certain conversion provisions set forth in that certain Certificate of Designations of Series C Convertible Preferred Stock which entitle holders of Series C Convertible Preferred Stock to convert (at certain times and subject to the terms therein) shares of Series C Convertible Preferred Stock into common stock at a discount to market price.
- Conduct a registration rights offering to existing stockholders whereby the Company may offer shares of common stock to such existing stockholders at a discount to the current trading price. Such an offering could generate cash for the Company to augment and possibly accelerate the Company’s efforts to bring products to market. Such an offering could also partially offset dilution experienced by legacy stockholders.
- Revalue certain options and warrants outstanding to current and former officers, employees and creditors.
- Properly incentivize current and future employees by issuing stock options at current market prices.
There are possible negative ramifications associated with lowering the par value of the common stock. For example, stockholders could experience dilution upon the issuance of new shares as contemplated by those activities described above. Also, the issuance of common stock at a lower price may afford the Company added flexibility to deter a potential takeover of the Company that may otherwise be beneficial to stockholders by diluting the shares held by a potential suitor or issuing shares to a stockholder that will vote in accordance with the Board’s desires. A takeover may be beneficial to independent stockholders because, among other reasons, a potential suitor may offer such stockholders a premium for their shares of stock compared to the then-existing market price. The Company does not have any plans or proposals to adopt provisions or enter into agreements that may have material anti-takeover consequences. Although there are these negative possibilities, the Company’s management and Board believe that the benefits to the Company’s stockholders outweigh the negatives.

Update regarding the In re Bilski case
NeoMedia is providing the following update to its shareholders regarding the In re Bilski case which was decided by the US Court of Appeals for the Federal Circuit on October 30th. Specifically, the appeals court has rejected patenting a way to smooth energy costs. The case focused on whether an inventor can patent an abstract process, something that involves nothing more than thoughts.
While the Court refined the test for determining if a proposed claim contains patentable subject matter, it clearly reaffirmed that there is still no preclusion of so-called "business method patents". That is, the Court reaffirmed its holding in State Street that a "business method exception" was unlawful and that such claims are subject to the same legal requirements for patentability as applied to any other process or method. The Court expressly declined to adopt a broad exclusion over software patents. The Court has now clarified a prior U.S. Supreme Court ruling that a claim may have patentable subject matter if (1) it is tied to a particular machine or apparatus, or (2) it transforms a particular article into a different state or thing.
Yesterday’s ruling has no bearing on the validity of NeoMedia Technologies’ existing patents as they are not mere business method patents. NeoMedia’s innovative 2D barcoding technology is not only tied to a piece of hardware, but also requires the processing of scanned information to be shared through the interoperation of several computers over a network. Pepsi Launches Major UK QR Code Initiative
Thirsty tech-savvy UK consumers will be able to access music, games and other entertainment from their mobile phones now that Pepsi has introduced QR codes to its drink packs.
PepsiCo and Britvic are rolling out 400 million packs with quick response (QR) codes across Pepsi, Diet Pepsi and Pepsi Max variants in the UK.
QR codes are two-dimensional barcodes that act as a conduit between print and web through the use of mobile phone camera technology.
With the help of a QR code reader, consumers can take a picture of the on-pack code, which will then direct them to great mobile entertainment courtesy of Pepsi via WAP. The QR codes will enable consumers to gain access to content, such as games, ringtones, wallpapers and more.
