Adelong currently have two internet company investments as outlined below:
eSmart Ltd
( 50% Adelong) eSmart Ltd operate a National ISP network covering every Australian
Capital city as well as major regional areas and is developing the "eSmart Remote
Back-Up" software business which allows regular, automatic and secure data back-up
and off-site storage of data. The marketing of eSmart`s products and services has
recently picked up speed with the appointment of one of Australia`s leading marketing

At last, Australia has a free Internet Service Provider.
FreeISP.com Pty Ltd a Sydney based free Internet Service Provider plans to launch its
services within the Australian market within
three months.
FreeISP.com has secured initial venture capital funding from listed company Adelong
Consolidated Gold Mines NL (ASX code AEG), which will
enable it to establish Internet services in Sydney initially, and then eventually to all capital
cities throughout Australia. Revenue
will be obtained through advertising, portal fees and e-Commerce business that will flow from
the enormous user base that is expected
to evolve.
Director of FreeISP.com, Mr John Perkins, said that "The potential for a free Internet Service
Provider within Australia is enormous.
Companies such as FreeServe in the UK have gone from a start up to being the largest ISP
in Europe with a market capitalisation
exceeding US$2 Billion, within 12 months. Meanwhile Microsoft has been making noises in the
US with plans to launch a free ISP service
in the US. With the enormous growth of the Internet, advertising revenue available from the
Internet will rise substantially,

Strategic Internet Company Acquisition
The directors of Adelong Consolidated Gold Mines NL advise that the company has entered
into a heads of agreement with FreeISP.com Pty
Ltd A.C.N. 086 567 660, a Sydney based free internet service provider, and its proprietors to
acquire an interest in FreeISP.com Pty Ltd.
The directors of Adelong, together with the existing management of FreeISP.com, are
working towards the public listing of FreeISP.com.
It is intended that Adelong shareholders will be entitled to participate in this new float.
The principal features of the heads of agreement include the following:
1. Adelong is to pay $150,000 for the issue of 1 million fully paid ordinary shares in
FreeISP.com. This will give Adelong a 10% interest
in the issued capital of FreeISP.com. This payment is subject to satisfactory completion of
due diligence by Adelong and its advisers
and the parties then entering into an allotment agreement.
2. Adelong has the option, within 6 months, to pay $200,000 for the issue of a further
1,250,000 fully paid ordinary shares in
FreeISP.com which would give it a 20% interest in the expanded capital of the company.
There is no obligation for Adelong to
exercise this option.
3. When the first parcel of shares in FreeISP.com is allotted to it, Adelong is entitled to
nominate a director to the board of
FreeISP.com.
4. In order to provide an opportunity for Adelong shareholders to participate directly in the
proposed listing of FreeISP.com, Adelong
shareholders are to have a priority in relation to 30% of the shares in FreeISP.com to be
offered to the public.
There is a 14 day due diligence period. The due diligence is being performed by
PricewaterhouseCoopers and Brisbane lawyers, Hogan
Besley Boyd.
FreeISP.com Pty Ltd
The 2 directors of FreeISP.com are John Perkins and Stephen Grundy.
Both 34, they have been involved in the IT industry for the past 10 years. They own and
manage a Sydney based network integration and
consultancy company called Balanced IT Services Pty Ltd which specialises in e-commerce
solutions. Balanced IT employs 40 people
and has a turnover of $18 million per annum.
Recent developments in the US ISP market have seen Microsoft hint at the possibility of
launching a free ISP service to compete with
market leader AOL. UK company Freeserve Plc which launched a free ISP service in the UK
last September very quickly became the largest ISP
in Europe. It recently listed in London and on Nasdaq with a market valuation of more than
$2 billion.
Revenue will be obtained by FreeISP.com through advertising, portal fees and e-commerce
business generated from the large user base which
is expected to evolve. The service is expected to be offered initially in Sydney and then
gradually extended to cover the whole of Australia.
Craig Manners, a director of Adelong, is also a director of Arkad Pty Ltd which is a one-third
shareholder in FreeISP.com. Mr Manners has
not been involved in Adelong`s decision to enter into this transaction.
The board of Adelong believes there is enormous potential for FreeISP.com to become a
major participant in Australia`s ISP market,
internet advertising market and e-commerce market within a very short period of time.
