https://press.bpost.be/...nt-signed-on-the-sale-of-ubiway-retail-sanv

Dirk Tirez should have raised the alarm more quickly with the audit committee, says a source at Bpost. Although a thick fog lingers over who exactly knew what.

Dirk Tirez had to resign as CEO of Bpost. Belga
The saga surrounding the now suspended tender for the newspaper concession 2023-2027 is not yet over. The central issue is whether there was a scheme in which Bpost was the only one to bid on the concession – whereby the other player, PPP, would receive more work in the cities from the Flemish publishers DPG Media and Mediahuis in return.
Nicolas Meire, the director of distribution of letters and parcels, would have taken the initiative. Meire was fired last week. He was an employee of the former director Jean Muls, who managed the Belgian organization of Bpost. Meire would have gone beyond his book, Bpost blames Tirez for reacting too laxly when he received a controversial email from Meire on November 15, 2021. In that email, Meire writes about his contacts with DPG Media, Mediahuis and PPP.
Tirez then gave him a bowl wash and called that initiative both unnecessary and unwise. Tirez is now accused of not going directly to the audit committee of the board of directors or informing chairwoman Audrey Hanard. This is evident from a note that Hanard's core cabinet received.
Vague mail
It is striking that this note is very limited on crucial points and on certain episodes. For example, the fact that the internal compliance officer was sent to Meire is concealed. The fact that Jean Muls was also interviewed a few times about his employee did not make it into the note either, as did the content of the discussions between Muls and the CEO. This may be stated in the full audit, but Bpost could not confirm that yesterday.
In the note, Hanard only says that on August 28, 2022, she received a 'vague email' from Muls that something could be wrong. The period before, the various contacts in June, did not make it to the note for unclear reasons. Why Hanard did nothing all summer is unclear.
Bpost omits an entire period from its timeline
The timeline that Bpost released last week leaves out an entire period of time. It will only start on 28 August 2022, when the internal audit starts, while the period From September 2021 to March 2022 is particularly important. Especially the fact that Tirez could not adequately place meire's mail, weighs in the note. That, and the fact that his explanation changed over time. It was also the reason to put him at the door without compensation. Tirez had no choice, it was that or a dismissal for serious error.
Mp Michael Freilich (N-VA) is convinced that his revelations about the tender for a new newspaper concession have led to an acceleration. Questions about the issue will be asked in parliament on Thursday. Minister of Public Enterprise Petra De Sutter (Green) will answer that question.
One of the suspect companies, newspaper distributor PPP, maintains that the conditions for the concession were tailor-made for Bpost, which itself kept it out of the market. These conditions were drawn up by the government. The PS in particular was very keen to have the newspaper concession end up at Bpost. At Bpost, there were several leaders who believed that the company better prepared for the future. Tirez was a pioneer of modernization into an e-commerce company.
Whether the dismissal of Bpost CEO Dirk Tirez can solve the crisis surrounding the newspaper contract is doubtful. The PS, the biggest advocate of the contract, thus chooses the flight ahead. Even if things go wrong with the newspaper concession, the Walloon government party can increase its grip on the public company through a new CEO.

BEFOREHAND
An internal investigation into irregularities in the award of a new contract for the distribution of newspapers resulted in the resignation of Bpost CEO Dirk Tirez last Friday. That dismissal should defuse the crisis surrounding the newspaper concession. The PS absolutely wants to safeguard the concession because it means thousands of jobs, especially in Wallonia. This means that the PS, which has the chairman at Bpost, follows the company very closely. However, the subsidy flow of 175 million euros per year, which must decrease to 125 million euros from 2024, is receiving increasing criticism. The European Commission, among others, must give its blessing. In addition, an investigation by the Belgian competition watchdog into prohibited market agreements is ongoing.
The script for the removal of the CEO at Bpost had been ready for several weeks. By sacrificing Dirk Tirez, who was appointed last year, the PS hopes to calm the storm over the newspaper concession. That concession has been at an impasse since Bpost announced that it is conducting an internal audit into possible irregularities. On Friday it came to the resignation of Tirez. The PS in particular attaches great importance to the press concession because it involves thousands of jobs at Bpost.
The French-speaking socialists hold the presidency at Bpost with the 37-year-old Audrey Hanard, but behind the scenes is the strongman PS chairman Paul Magnette. With Minister of Work Pierre-Yves Dermagne, the party also holds the post that oversees and awards the newspaper concession. Together with another PS leader, they follow Bpost closely.
This means that at crucial moments the epicentre of power is not in the hands of Bpost's board of directors, but in Charleroi. From a corporate governance point of view, this raises questions. It remains to be seen what the ongoing audit at Bpost, which also includes a transparency chapter, will say about this.
The CEO dismissal had already been decided behind the scenes, but first the competition watchdog had to be able to make his raids on the publisher DPG Media and the distributor of newspapers PPP. Flemish publishers, Bpost and PPP are suspected of having struck a deal to divide the market.
What transparency?
The removal of CEO Tirez was accompanied by some haste, because Hanard is leaving on maternity leave. The question of the member of parliament Michael Freilich (N-VA) to Hanard to come and give text and explanation in parliament, is annoying in this context. It remains to be seen whether she comes to parliament and how transparent she will be. It was striking that Hanard only spoke about the CEO on Friday and the Director of Belgium at Bpost – who oversaw the newspaper concession and in whose team the difficulties occurred – remained silent.
Bpost president Audrey Hanard (PS) is a crucial link in the political management of Bpost from Charleroi
That director, Jean Muls, was pushed to the exit by Tirez at the beginning of October because he proved unable to lead Bpost Belgium properly. The same Muls had also been repeatedly asked whether an employee in his team had not exceeded his book in the attempt to win a new newspaper and magazine concession.
• Clumsy skipping of the board of directors hurts Bpost
Muls' real role has been remarkably quiet so far. He has good political connections and knows the (Walloon) political game well from his years of activity via the courier FedEx at Liège airport. The fact that he became the CEO of Bpost Belgium last year happened with the support of the PS. The name Muls had also been on the list of possible CEOs for Bpost.
No signature
Was Tirez the appropriate scapegoat in an attempt to defuse the newspaper concession crisis? The Fleming Dirk Tirez, more of a technocrat, had no direct support in Charleroi. On the contrary, Magnette had been greatly annoyed by Bpost's decision to sell the shares of Bpost Bank in full to BNP Paribas Fortis.
Tirez, on the other hand, had refused to sign the new tender for the newspaper concession, which had not been appreciated by the PS. It caused delays, after which the Liberal parties demanded during the recent budget preparation that the allocation for the newspaper concession be reduced by 50 million a year.
Earlier this year there was the incident with the guardianship minister of Bpost, Petra De Sutter (Green). She did not like the sale of the newsagents to the gambling company Golden Palace. Vooruit didn't think it was a good idea either, because Golden Palace could make life more difficult for the National Lottery.
Tirez can undoubtedly open a book, but remains on the line that he has full confidence in the ongoing investigation. After his dismissal, he did post an interesting contribution on Linkedin, in which he touches on Bpost's strategic challenges and points out that he has worked with integrity and continues to loyally cooperate with Bpost's research.

The newspaper contract is the short-term challenge for Bpost, but the real challenge is the further transformation into a high-performance service company in the parcel economy. It means that the company keeps the declining letter mail as profitable as possible through efficiency interventions and in the meantime invests in services and jobs for e-commerce.
A well-thought-out policy means that Bpost is already preparing for the extinguishing of the press concession – which was offset by an annual government grant of 175 million euros. As a result of the intervention in the budget preparation, this will be 125 million euros from 2024, while the company asked for an increase to compensate for wage indexation and more expensive fuel costs. The question is who will pay those fees? The publishers, Bpost, or both?
Inefficiencies
Xavier Bouckaert, CEO of the magazine publisher Roularta, already points out that magazines are allocated maximum with the regular mail rounds, in contrast to the newspapers. 'There you need a special round every morning during the week to bus the newspapers before 7.30 am and on weekends before 10 am." The weekend is increasingly becoming the center of gravity of the paper distribution.
'I don't want to pay for inefficiencies at Bpost and for the problems with the newspaper contract', says Bouckaert.
The government recently decided to extend the current contract by one year, ensuring the distribution of newspapers and magazines after 31 December.
The issue of money is not yet clear. The question is whether the European Commission can live with the extension of the contract that expired in 2019 and has been underway since then. Moreover, it is a contract of which Bpost says that it is also being investigated whether no irregularities have been committed.
Peter Hilz
What is certain is that the new extension will start without formal approval from Europe, because there is no time for that. The Dermagne cabinet said on Monday that Europe's decision falls in the course of 2023. "There is of course the possibility that the Commission will not agree, but my administration will do what is necessary to convince the Commission of the need for the extension," the minister responds. Getting a concession for the period 2023-2027 out of the fire will be at least as challenging because Europe used to look at the concession with a magnifying glass. From the opposition, MP Michael Freilich (N-VA) shoots with live ammunition. Freilich wants the end of what he calls "unnecessary subsidies."
Which new CEO?
The issue will play a role in the search for a new CEO. What kind of company does it end up in? The PS will clearly ensure that there is a CEO who has an eye for the interests of Charleroi. All recent ex-CEOs (Frans Rombouts, Johnny Thijs and Koen Van Gerven) have experienced that the PS will not let go of this company. The party did not even shy away from bullying the successful manager Johnny Thijs who brought the company out of the doldrums. That's no small beer: in that period, Bpost was the most successful listed postal company.

Ceo Roularta
The Belgian waffle iron policy also led to a superfluous mail sorting centre in Wallonia because both Liège and Charleroi are priorities. Under CEO Koen Van Gerven, tirez's predecessor, investments were made for the parcel economy in the north of Brussels and Antwerp gained in importance. With Radial, he added an important branch in the US. Initially that was a crisis file, now it is the float on which Bpost floats.
Will the new CEO be someone who wants to keep the listed Bpost on the growth path or rather a manager of second garnish who loyally serves his political breadbaskets? Headhunters warn that it is not easy to attract a strong manager.
Guardianship Minister De Sutter feels very close to Bpost and its 26,000 employees in Belgium. Under De Sutter, the company took various initiatives regarding sustainability and ecology. Until now, Bpost has been able to combine the various objectives. The turnaround at the American branch that supports the group's profits helped. Due to the shrinking letter mail, further steps are needed in our country anyway. Bpost is already less dependent on Belgium than it used to be.
Bpost worth 10 percent less after ceo's resignation
Bpost lost about 10 percent of its value on the stock exchange on Monday to 5.14 euros per share, as a result of the crisis at the top of the company. In addition to the resignation of the CEO, the director for the distribution of letters and parcels, and the commercial man of the distribution company AMP were also escorted to the exit. The stock was listed again on Monday after it was suspended on Friday.
ING analyst Marc Zwartsenburg, who has been following the company for a long time, sees various risks. For example, Bpost loses a CEO with a strong track record. If Bpost loses the new newspaper and magazine concession, it will lose 125 million euros in annual revenue from 2024 onwards. In addition, the competition watchdog BMA can impose a fine on the company that can amount to 443 million euros. The question is whether Bpost – which was the first to fully cooperate with the BMA – can get a waiver. Those who only confess after infringements have become known can receive a maximum of 50 percent discount on the fine. If Bpost still has to pay a fine, the dividend that has just resumed could be cancelled. (PDD)

Richtig so.
